I'm sure the deal was pre-agreed and both directors should have been held responsible for this what happened. No idea about JC real intensions and part he played in this game. Unfortunately Delaware Court, that doesn't recognise emails and calls, but only letters sent by post, proved that it doesn't care about shareholders and AIM regulator doesn't even bother to reply our emails. I know there was a few here, including myself, who tried all the available options to stop this sale as the offer was ridiculously low. Thanks to them for all the effort. Nighthawk' BoD/Polaris plan was simple and worked well. We only don't know how far back it all started. Personally I think that is possible that the offer came before the directors decided about closing London office. The cost cutting move to Denver let us believe that they will be closer to operations and will manage it better on site. In fact, far from UK, they were secretly finalising the sale letting shareholders know after suspending the share trading. Applying to UK court to recognise any US court decision killed our chances for appeal in UK. Well, even if there are chances, it's all too late now. This weekend it's a pre-sale party time and guess who is sponsoring it. AIM share listing is to be cancelled in 30 days as they have no money (? see below basic calculations) in the company account and no intention to work here. Of course not surprised as the commission must have been good enough. They definitely afraid of shareholder anger so no way they will move to work in London in any listed company. Now when oil price is heading to $80, Polaris will get their all invested money back within 12 months. You won't find any investment product on the market that will give you 100% return from investment in year one. That's why their offer was not fair. If the directors really wanted help us, they would have advertised it in London, so the minimum price would be $30m, but realistically even $50m was possible leaving $25m on the company accounts. Polaris is paying $18m for he wells that are generating $2m per month. wow! We, shareholders, paid for the drilling, years of exploring, maps, projects, leases but they had no shame and sold not only operational wells but everything included. But bored small people said, Polaris meet our generosity, take all, we are only working here, we do not care, this is not our money. All we want is sweet retirement. I strongly think that in current oil market, all the ad ons carried additional value. The leases could generate additional few millions per year if released to other companies. Nighthawk's acreage is/was huge and oil market is booming heading to $80 now. No better time to invest in drilling. IF they have left Nighthawk Energy listed with all the leases, plans, acreage transerred to, then it would be a completely different story from Monday July 2nd. How important for the company survival was to achieve price exceeding the CBA loan balance? Each $1m exceeding $18m would give £0.75m, so above 50% of the last market capitalisation. May 1st, HAWK's market cap was £1.1m Now, basic calculations: April 20th - CBA balance $21.25 May 1st - deduct $2m as per cash received from oil Assume same happened on June 1st and end of June, so it's further $4m down June 30th CBA loan balance $15.25 July 1st - Polaris paying $18m Where is almost $3m ? Hard to say more cause my heart is bleeding seeing one of my two favourite companies going down. Best of luck to all who fought. | marmar80 | |
