Optrade how do you think MIN are going to see themselves thorough until deals are signed on CS after the travel sale which will hopefully cover the Hillside loan,which by the way will now be costing them more with not completing on time.I have a pretty good idea having mailed the company but just wondered if you had any thoughts?

The minimum full period of notice for all meetings is 14 days, even if a special resolution is to be proposed, except for the AGM of a PLC, which is 21 days. The company's articles may require a longer period. Note that the 'clear day rule' is found in sec360.
A meeting can, however, be held on short notice, if so agreed by a majority of the members who hold at least 90% of the voting rights in a private company (or 95% in a PLC). The articles of a private company may specify any percentage between 90% and 95%.

Well, I'm guessing here but I assume IF exchange of contracts is legally binding then all terms would then have been agreed. So I would expect an RNS the day after exchange of contracts, and the GM 21 days after that to ratify the deal

So PJ I was pondering timeslines. Don't know if 21 days notice is correct for GM, but if we are voting immediately after exchange - a few weeks away - (or after 21 days notice as you suggest) then that gives an idea of time line for completion. So when does our RNS appear...? Just thinking out loud.

They would first have to issue an RNS with full disclosure of the agreed deal. Within that RNS they could (and probably would) include notice and date of the EGM. I believe they have to give a minimum of 21 days notice, unless 95% of shareholders agree an earlier date. As far as I'm aware these things are usually concluded with few, if any, attendees
