Ungaro Homme distribution to be expanded

Brand house Marchpole will expand UK distribution of diffusion line Ungaro Homme next spring. It will go into 20 more Debenhams shops and five more John Lewis stores, and will double its presence in Moss to 10 shops. Pre-tax profits at Marchpole were £4 million for the six months to September 30, against £1m the previous year. Sales rose to £38.6m from £14.9m, following acquisitions including Moda America and the Homebody brand.

Wonder what the acquisition with "reasonable turnover already" with UK focus is?!

Perhaps Hackett? Flogged by Richemont to Torreal (spanish private investment co) for Euro 11m (GBP7.5m) last year. Turnover about 20m predominately UK.

Any other guesses? Fred Perry (too big / chavvy)?

In fact, the non-Morris, non huge mcap increase, options in the above amounts to 340k, (or 1.7m old shares), some of which may also have lapsed.

That raises the possibility that they needed a block listing for c.1.4m OLD shares but multiplied by 5 rather than divided by 5. So the true requirement could be 280,000!

Oh well, we will see at year end...

AND the vast majority of the outstanding ones (1m / 5m) are under the "Unapproved Scheme" not the EMI scheme!!!

So that could be ANOTHER factual inaccuracy in the RNS!

So Morris has

60k Options @ 128.75 Date trigger 21/2/06 Awaiting 60m MCAP trigger
60k Options @ 128.75 Date trigger 21/2/07 with MCAP trigger 70m
[60k Options @ 128.75 Date trigger 21/2/08 with MCAP trigger 80m]

325k Options @ 128.75 Date trigger 21/2/06 Awaiting 50m MCAP trigger
325k options @ 128.75 Date trigger 21/2/07 with MCAP trigger 55m

So total 730k options (670k possible this year sub MCAP)

2005 Annual report said 1,069,000 (5,345,003) including the above were outstanding at year end. SO I am not sure why they are blocklisting 1.4m as perhaps only half that amount seem likely to vest in this financial year.

Even then we need an MCAP increase of 55% (equiv share price 186p) to get to the 50m ones, 70% (200p) for the 55m ones and over 85% (220p) for the rest.

Mr Morris must be confident!!

Would be interested to hear if anyone gets a reply from Shore Capital. They prepare/submit the application form to the UKLA and prepare/submit the RNS ... and they are also the largest market maker who picked up a large quantity of shares yesterday at a knock down price.
