07/3/2007 14:52 | The Marchpole EGM was a short and sweet affair. There appeared to be just one other shareholder present, who had held the shares for several years and was hoping to at least recoup some of his losses to date (not a poster here). Unfortunately Michael Morris did not attend. Speaking to the legal team from Taylor Wessing, they stated that most of the work concerning this acquisition had been done by John Harrison. We had Christopher Phillips, John Harrison, Harvey Shulman and Raymond Harris in attendance. The meeting itself took just 8 minutes. The only questions were from me: Q1. Do you envisage selling Greenmark products outside the UK? The response from CP was encouraging. He described the acquisition as an extension of MPH's footwear range and that MPH's current distribution channels could be used to market Greenmark footwear. It seems to me that there is considerable scope to grow the Greenmark business through this synergy. Q2. Risks mention long lead times for items purchased from Brazil. Is this much different to lead times from Marchpole's other suppliers? CP stated that the lead time for sourcing products from Brazil was similar to that for other products in Marchpole's range. Q3. Risks also mention absence of written contracts with suppliers and customers. Does this situation differ significantly from the way MPH does business? If so, do you intend to change it and are key Greenmark personnel in agreement? Again this situation is not significantly different from Marchpole's own supplier and customer relationships. In essence MPH receives and places orders twice yearly for the following spring/summer and autumn/winter ranges. Customer contracts simply take the form of purchase orders. I was not previously fully aware of this and it means that once each of these cycles is complete, MPH should have excellent visibility of the next 6 month's earnings. CP stressed the importance of the good relationship between key Greenmark personnel and the MPH team. No surprise there! 4. Was there was any reason why the shareholder circular could not be placed on the MPH website? JH said that he thought it had been. I have now checked and can only find the notice of the circular, not the circular itself. I am following this up with Marchpole. Needless to say, the resolutions were carried unanimously on a show of hands. After the meeting proper, I asked JH how the acquisition had come about. He was able to advise that it was the result of a personal contact and introduction from one of the non-execs. All looks good to me looking forward to the finals in June & hope we get a positive trading update on the autumn/winter 07/08 orders. Regards, Mark | ![]() marben100 | |
