If MKD shoots up as some people expect then it could be very expensive for Oxus to improve the offer and give the same improved terms to everyone who has already accepted. 24/3/2006 18:29 | I have searched without success for information on any Guernsey laws that allow a minority shareholding to, in effect, be compulsorily bought out. Under UK law I've come across 3 methods: Section 429? Companies Act 1985 (The 90% threshold being crossed in a take-over?), Section 425? or 428? (Using a Scheme of Arrangement?) and there may be ways of doing it under S 110 of the Insolvency Act. As a layman in these matters, I find it odd I can find all sorts of info about this for the UK, but not for Guernsey. Perhaps Ms. Solino is right? There are no ways to do this under Guernsey law? Accordng to "There is no minimum limit on the amount of shares that must be in public hands" to maintain a listing on the AIM market. No risk of MKD being chucked off AIM? The only concern then is that OXS having more than 75% of MKD, there is perhaps nothing we can do if they want to pass a (special?) resolution to de-list? Still, gold rose nicely after London closed, so if we are to be forced to take OXS paper, at least it should be worth more on Monday! | ![]() nobull | |
