Even if they do improve the terms ( and I do not doubt GS's well intentioned posts on here) then it will probably happen on the Khandiza approval. In such circumstances I doubt whether OXS will mind paying more since we will all be better off ....bigger cake to be sliced.

They got 25% very cheaply but it will only remain cheap if they don't have to improve the terms.

Well, really and truly OXS want MKD price to shoot up !

Leverage may well be their aim. After all they had c60% before this game

Manipulating 20% via 1 for 3 is quite a good strategy, no problem to
improve it if MKD comes good. The big IF !

GS - yes, they won't lose out if the offer is improved but there must be more to it than that for the institutions to consider converting at such a small premium.

If MKD shoots up as some people expect then it could be very expensive for Oxus to improve the offer and give the same improved terms to everyone who has already accepted.

I'm sure they must have a strategy to prevent the MKD price from rising.

My understanding, to repeat, is OXS assured those 'early' on conversion that
if they revised the swap ratio a top-up improvement would be awarded.

GS - nothing to lose by continuing to hold awaiting further developments, safe in the knowledge that you'll always have the 3:1 offer to fall back on.

I wonder how OXS/MKD managed to persuade the institutions to accept the offer. They must have something up their sleeve and I expect we'll find out about it sooner or later.

Weak holders selling MKD should make for strong performance on next leg, imo

GS - I wasn't implying that MKD would go belly up, just that their current projects may end up being owned by Oxus, by which time any outstanding MKD holders will have no reason not to accept the 3:1.

Zaphod99 - I don't think Oxus are buying MKD shares for charity.

We shall see. If Marakand go belly up, sentiment will hit OXS,
noting 3 ill-judged decisions on-the-trot.

There will be plenty of incentive when the free float is negligible, the shares illiquid and MKD have no assets to speak of.

I have searched without success for information on any Guernsey laws that allow a minority shareholding to, in effect, be compulsorily bought out. Under UK law I've come across 3 methods: Section 429? Companies Act 1985 (The 90% threshold being crossed in a take-over?), Section 425? or 428? (Using a Scheme of Arrangement?) and there may be ways of doing it under S 110 of the Insolvency Act. As a layman in these matters, I find it odd I can find all sorts of info about this for the UK, but not for Guernsey. Perhaps Ms. Solino is right? There are no ways to do this under Guernsey law? Accordng to "There is no minimum limit on the amount of shares that must be in public hands" to maintain a listing on the AIM market. No risk of MKD being chucked off AIM? The only concern then is that OXS having more than 75% of MKD, there is perhaps nothing we can do if they want to pass a (special?) resolution to de-list? Still, gold rose nicely after London closed, so if we are to be forced to take OXS paper, at least it should be worth more on Monday!
