21/3/2006 09:54 | good posts! A reminder. If my memory serves me well there are already conditions in place with the 3:1 that allow for 2:1 or 1:1. I dont remember them saying it could go 4:1 or 5:1. It was mentioned that the 3:1 had created a floor, so you have to assume that mkd get the oxs upside and with mkd's $5b value they cant really argue that mkd is not worth it. Solino said there was no plan to forcibly buy out the the small pi's and I think she mentioned under guernsey law that they cant. Could be a ride to a bite out of that $5B? or an offer we cant refuse? | ![]() greg the grinch | |

I don't know. I would have thought so too, but there seems also to be protection for minorities being manipulated out of their shares at unfair prices. Courts pay a lot of attention to the commercial judgement of the majority of shareholders that are not connected with the company doing the compulsory purchase? 19/3/2006 00:47 | There is a write-up of the interim results of OXS in Friday's Investors Chronicle. It says negotiations are proceeding in good faith between the two parties regarding Jerooy, and finishes with "[Oxus] looks likely to bring spin-out (spin-off?) Marakand back into the fold, having tied Marakand's key project, at Khandiza, into a new acquisition due to be announced in a few weeks". It's on page 64 as far as I remember. I also bought a book on Company Law today. A section 425 Scheme of Arrangement would seem to require a lower threshold to become binding on any MKD dissentients compared with using section 429 to compulsorily acquire shares in MKD. There are strict time limits within which you have to do it under Section 429. (4 months in total from time of offer?). | ![]() nobull |
