Marakand Minerals Limited - Holding in Company


Marakand Minerals Limited ('Marakand' or 'the Company') received notification on
21 March 2006 pursuant to the provisions of the Companies Act 1985 that Oxus
Gold Plc and its direct and indirect subsidiaries, being non-beneficial holders,
has increased its shareholding by a further 1,343,097 ordinary shares and now
holds 83,753,577 ordinary shares representing 82.91 per cent of the ordinary
issued share capital of the Company.

Marakand wishes to further advise its shareholders that Richard Robinson,
non-executive Director of Marakand has tendered his Marakand ordinary shares to
Oxus at a ratio of three Marakand shares to one Oxus share.

Richard Robinson - 23,490 ordinary shares representing 0.02 per cent of shares.

hectorp - this is a good consolidation period for MKD s/p, market wants to
tease out weak holders. I notice OXS 69-70p, so arbitrage MKD equivalent 23p

I bought MKD for its huge prospects and very pleased Oxus is a majority
holder. Now they want a bigger share tells me Marakand is significantly
undervalued. More than happy to have a slice, even if in years to come
i'm in the minority 5% and/or diluted party.

Zinc made another high today. One analyst described it as the "new copper". I wonder what a zinc price of $2/lb would do to the Khandiza NPV?



This is not to mention silver reaching $10.50 based on the SEC approving rules for the ETF.

Just need that signature on the JV ...

One good thing from this 1 for 3 offer is it will force stock to be
delivered, bit like the eurofox comments of requesting stock in
certificate form as discussed RDG 2005.

As more MKD shares are swapped for OXS the squeeze should be amplified,
assuming there are some 'short' parties !

Patience, that's all. A few weeks no problem, having waited over 1.5yrs !!

A reminder.
If my memory serves me well there are already conditions in place with the 3:1 that allow for 2:1 or 1:1. I dont remember them saying it could go 4:1 or 5:1.
It was mentioned that the 3:1 had created a floor, so you have to assume that mkd get the oxs upside and with mkd's $5b value they cant really argue that mkd is not worth it.
Solino said there was no plan to forcibly buy out the the small pi's and I think she mentioned under guernsey law that they cant.
Could be a ride to a bite out of that $5B?
or an offer we cant refuse?

your right, but the macd has just gone postive above zero as well which to me is a buying signal and if you look at oxs charts they are similar.

100m ords that Oxus fully subscribe to, thus helping them pass the 90% holding
and enabling a compulsory re-purchase". I don't know. I would have thought so too, but there seems also to be protection for minorities being manipulated out of their shares at unfair prices. Courts pay a lot of attention to the commercial judgement of the majority of shareholders that are not connected with the company doing the compulsory purchase?

"It sure will be a very clever end game". Agreed. None of us have (has?) managed to work out what is going on?

There is a write-up of the interim results of OXS in Friday's Investors Chronicle. It says negotiations are proceeding in good faith between the two parties regarding Jerooy, and finishes with "[Oxus] looks likely to bring spin-out (spin-off?) Marakand back into the fold, having tied Marakand's key project, at Khandiza, into a new acquisition due to be announced in a few weeks". It's on page 64 as far as I remember. I also bought a book on Company Law today. A section 425 Scheme of Arrangement would seem to require a lower threshold to become binding on any MKD dissentients compared with using section 429 to compulsorily acquire shares in MKD. There are strict time limits within which you have to do it under Section 429. (4 months in total from time of offer?).
