26/1/2006 15:53 | I think they can do £1m pre tax, that's after the interest on the £2m or so of debt that Hemmers Has. Hemmers also owes the holding company about 800K (I think, i'll have to check it might be 600k). Also I think i'm right in saying that the holding company has a load of tax losses which can be offset against future profit, but they can't use them against Hemmers profit which is taxed at the German rate of 40%. So it makes sense to me to keep some debt in Hemmers (again from memory, but the interest rate they are paying on their Euro debt is only about 4.5%) which will reduce the tax they pay, whilst keeping the cash in the holding company which should earn interest tax free. I would guess too that they will be able to apportion more of their central costs to Hemmers now that it is the only operating subsidiary, for example audit costs and such like, but i'm not an accountant so I can't swear to it. Hopefully these two things will help lower the effective tax rate they pay. | arthur_lame_stocks | |

26/1/2006 15:11 | Hemmers has net external debt of £2.4m, unsecured and without recourse to the parent company (something any valuation of LDSG and what they might net if Hemmers was sold really has to take into account). But because of the way debt is structured, this isn't part of the parent company's liabilities and so if the group has net cash in excess of £3m, the parent company has cash in excess of £5.4m - at least, that's my reading of it.
