What they're looking to do is subscribe to further discounted shares. There is no room for play when the shares are sitting at 0.03p. So the shares are consolidated to 3p. This affords them the luxury to subscribe for new shares at 2.5p then 2p then 1.5p then 1p then 0.75p then 0.5p then 0.25p then 0.2p then 0.15p then........you get my drift. Whilst the shares are on a continuous downward dilutive spiral these major shareholders are selling into the market destroying small private investors. "wishes of the major shareholders". Consolidation and sub-division of ordinary shares THAT:- 9.1 in respect of each holding of shares as shown in the Register of Members of the Company at the close of business on 8 November 2012, every 50,000 ordinary shares of £0.0001 each shall be and are hereby consolidated into 1 new ordinary share of £5 each in the capital of the Company ("Consolidated Ordinary Shares"), provided that no member of the Company shall be entitled to a fraction of a Consolidated Ordinary Share and all fractional entitlements arising out of such consolidation shall be aggregated into Consolidated Ordinary Shares and dealt with as detailed under paragraph 9.3 below; 9.2 immediately on conclusion of the consolidation in 9.1 above, each Consolidated Ordinary Share of £5 in the capital of the Company shall be subdivided into 500 shares of 1 pence each ("New Ordinary Shares") 9.3 the whole number of New Ordinary Shares arising from the sub-division of the Consolidated Ordinary Shares arising from fractions under 9.1 above shall be sold and the net proceeds of sale distributed pro rata among those members who would otherwise be entitled to such fractional entitlements save that any entitlement to a sum of less than £3.00 shall not be so distributed, but shall be retained for the benefit of the Company 9.4 the New Ordinary Shares arising under this resolution shall have the rights set out under the Articles of Association; 9.5 the existing articles of association of the Company be amended by replacing the words of the existing Article 6 with the words "The share capital of the Company at the date of amendment of these Articles is divided into ordinary shares of 1 pence each and is not subject to any maximum number of shares." | napoleon111 | |
