you have seen the RNS about buyback programme

you have seen the RNSs reporting actual share buybacks

so, I don't understand why you are posting about a Rights Issue, you go against what is written in various RNSs

don't get misled

it is normal that companies include votes on things like issuing shares in annual meetings, to give the BOD more flexibility in their actions, if beneficial for the co.

but usually it does not mean that it is intended/planned/expected to use the powers

although if any co. has perf. options for shares in place to issue X new shares to fulfil share options in place with directors/managers/staff (agents) if the performance targets are met

then it is 100% logical that the BOD has the power/permission to issue X new shares.

but, as we know the BOD here has stated that they will try to buy the X shares in the mkt using the buyback.

All fairly straightforward imo.

(perf. reqts.
some companies 'reveal' them
& some don't.
imo it should be a mkt reqt. (or legal reqt.) to always declare what the perf. targets are.

For ING, the BOD seems to have done a decent job in last 18 months, with a turn around in the profit numbers, new products on offer, new contracts being won. Fairly normal on AIM that we have to reward the dirs. for that. (personally I would impose more controls on the mkt but I don't have that power)

(& one could discuss whether any dir. holding over 25% of any co. should ever get share options since if he/she is not fully motivated by holding >25% then something is wrong; while others may say that anyone producing outstanding perf. should always get a bonus, regardless of what % of the co. they own.

The gearing is the thing combined with the low float and buyback. Explosive combination.

well, the best hope is that they can increase revenue, since the cost base is largely fixed? then the benefits of operational gearing would kick in, and off the share price goes. I've not looked in detail but the reason for the significant uplift in cash in H1 could be that the sales team are grounded...? Perhaps I read that on this board, perhaps I made it up, I'm not sure! BB is a sign off confidence though (and implies no need to make further significant acquisitions/investments) and the cash balance and recurring revenues gives support at the price.

as well as valuing the shares based on the turnover & profit & the cash held

the value of the different software products & the cost to get them to their current level of complexity/power should also be considered imo

no. I wish I did.

(they have been doing it for years & spent loads on R&D & on acquisitions to add skills/technology
& 3 year contract with just 1 client is for ~£2million; all indicates a good product imo)

so, I would assume that there are other trials underway. :-)

which hopefully might produce contracts in the future.

software, all automated, run on client's hardware system

a high % margin for ING imo

for 1 client !
& a global client, so its a very good product. :-)
just 1.

- potential to get many more clients, global, continental, national (USA, India, China, even a national contract could be big)

most/all annual AGMs include a vote to issue new shares
but normally never actually put in to practice.

but sure, if the buyback prog. doesn't get enough shares to fill directors' options then new shares can be issued

(but !
they have to meet whatever perf. conditions that were put on the different options
.....the dirs need to see the share price notably higher if they

- want to break even on the average share price they have bought at over the years

- want to see their options being profitable (I'm assuming they have to pay to exercise the options & dont get new shares for free; unless high perf. targets are met, in t which case the share price would be >£2 & I wouldn't object to giving the dirs some free shares

Vista as a Service gaining traction

The deal has been revenue-generating since April 2020 and is expected to generate revenues of up to approximately GBP2 million over its initial 3-year term, with the option to renew for a further 2 years at the client's discretion.

Looking at the notes from the last AGM I see special resolutions to issue shares and have a rights issue. Perhaps that is how they intend getting the stock. I'm confused now as to what's going on. Any thoughts?

One plus of this low price is that the company will take more shares out of circulation for their 500k. I think that we will have to wait for a bit of good new before we see a decent rise.
