Opera is a separate listed PLC - You can't argue with another already listed company paying us £20k/$30k month for an asset you said was worthless. Even if our shares in Opera are worth £500k, £1m or £4m - it's value ! That's a matter for Opera investors if they invest in that company.

From the RNS:



Finally, the Acquisition will be subject to conclusion of the parties' due diligence, and the parties entering into final documentation including an acquisition agreement. It is expected that for the first 12 months following the Acquisition, Highlands will provide its expertise and management services to Opera in return for a management fee of £20,000 per month.

The cash value of these payments is £240K, IF Opera manage to raise US$750K in a fundraising, the majority of the £240K will be effectively coming from HNR itself as it will be the majority shareholder as this is a reverse takeover. For all we know, HNR will also provide a good chunk of the US$750K in the fundraising, as that would be the best way to keep an inflated value on Opera shares.

I'm sorry. I see absolutely no value in this transaction at all. It isn't at arm's length, and it is a case of smoke & mirrors, IMHO. If HNR were actually being paid in cash, you'd have a point. This is merely corporate nonsense which, obviously, confuses the average retail investor. It is very common amongst AIM companies, but HNR have brought it to the main market.

To my knowledge OPERA itself, is looking at other assets - of which we at HNR will also benefit from.

I suppose the next deal re Uranium will also be met with being worthless.

Or gas prospect/Rohweder well test ?

It looks like good common sense to me, retain 55% but put the onus of development into a ring fenced vehicle.

Raise the cash needed through such and leave the parent unscathed.

Like it, less free shares coming to the market to dilute the DT project yet the helium project develops.

I can see why the derampers don't like it.

The shares in Opera are worthless, as you well know. It is nothing more than a shell, with a tiny bit of cash. The £20K/month is going to come from shareholders of Opera (er, which is largely HNR after the reverse takeover), so it's meaningless.

It's like me setting up a business and agreeing to pay myself £20k/month. It means nothing. I suspect you know that, though.

Regardless - The shares come from Opera and the £20k/month comes from Opera - an already listed PLC.
