We adopted a policy of putting different assets into different subsidiaries because a particular investor wanted to invest in those parts of the business but not in the business as a whole. Also this avoids diluting the plc company shareholders which we want to do as much as possible although we had to dilute them recently.

The subsidiaries are wholly owned (as the investments were made by convertible loans) so, wherever the money sits, it is all part of the Group and thus all part of shareholder funds. And will be fully reflected in the Group balance sheet.

In fact the parent company has not put any money into the subsidiaries other than a very very small amount to set them up. All their funding has come from the convertible loans.

There are only two operating subsidiaries, one being Immugenyx, set up to develop the mouse business, which is really quite distinct from the drug/antibody development. When we get a contract that uses the mice, then that of course goes into Immugenyx. As and when Immugenyx makes a profit on the contracts, the funds are available to the Group as a whole. I can't possibly go into the detailed financial management of the Company but it is entirely normal and indeed most companies (anything from retail to oil to hi-tech to pharma) operate much and in many cases all of their business through subsidiaries. It's just a normal way of doing business.

It doesn't matter that they are the only directors - they are operational subsidiaries and it makes sense that the directors are the two local directors - plus of course Vladik devotes part of his time to running and developing them.

You need to understand that we are a development company and, while these are going well, they can only earn revenue when they are fully developed and licensed - which is a long process. The exception to this is the mice business which is run through Immugenyx and which can and does earn revenue now as the mice are fully developed and ready to go - to have a revenue-earning business is quite unusual in my experience for a company at Hemogenyx' state of development.

As to Andrew's investment, he wanted to show at least some faith and commitment to the firm. He was unable to subscribe in the placing because we ran up against our permitted headroom (as voted at last year's AGM) from outside investors who wanted to come in. So he, rather kindly in my opinion, decided to buy shares in the market - at a higher price, I imagine, than he would have paid in the Placing. He is not an insider in that he is not in possession of any material price sensitive information that has not been disclosed to the Market in that he invested after the Placing announcement. There are rules and times when directors and officers can and cannot deal - otherwise directors could never buy shares in the companies where they sit on the board !


In summary you need have no concern as to the mis-spending of money at all but you can rest assured that all Vladik's efforts are directed towards delivering a positive result and where his efforts to date have been impressive. I only wish the market were more alive to the remarkable progress he has made on very limited funding resources.

What you did so far ?!

I learned from Dave and then use that knowledge to expose management so far.

From my email chain they are scared and I’ve been told to see their london office but I will put it in detail.

What you did for your fellow board members ?

Nothing!!

I’ve dare to send emails and communication with management.

Whoever I’m, I’m learning.

First I’m impressed with Badger and now with Dave.
