It is a hard one to call how the share price will shape up with the deadline offer date still a few weeks away. No doubt if offer was removed share price would tank - to where depending on market conditions but lest we forget the share price was hovering at around 430p just around two weeks ago! I am loathe to sell any of my GBG shares but I did just that ie approx 33% of my substantial holding. It was hard not too with such a sudden acceleration in the share price & with the daily doom & gloom in the broader depressed market. Plus I needed some cash flow for travels. However I am confident that over time GBG will keep on accelerating - offer or no offers - and that they remain a solid growth stock!

Very true but one would have thought that the current price would encourage them to offer, and they must have expected to pay more than the placing price?

I think those wanting to sell have mainly sold. It needs to be £7.50 plus to attract more sellers.

Pretty normal when you are in "bid alert" mode. GTCR have to put up or shut up by 4th October. You will get a lot more of them from institutional holders. Nothing to worry about.

It only signifies that they have 1% or more of the holdings and are obliged to make an opening position disclosure and a further RNS if they make any trades. They have 10 days to make the OPD. The 8.5 is just that it is a trader as an intermediary.
Always clogs up the RNS feeds in this sort of situation ; makes it hard to spot any real news!

I've been keeping a spreadsheet of pandemic equivalent ratings to assess potential risk for my portfolio for some time now. In the case of GBG the most recent estimate I had was £6.07. I'm not surprised private equity were sniffing around at these levels. As for take out price that's a more subjective judgement but personally having held for many years I don't see why I should accept anything below £7.50 for at least a 25% premium to that and even then I think that's being generous.

Another recent SaaS deal saw OMG sell its Yotta division for 7x recurring revenues.
GBG is a bit different as it’s a ‘subscription and consumption’ model rather than ‘licence and support’.
If subscription and consumption revenues are around £250m in the current year then a multiple of 8x would be £2bn or just under £8 a share.
Hopefully the forecast revenues will be bigger and there are other bidders to push the takeout price higher!

wolansm, if a cash offer is accepted, and you are holding these with BPR in mind for IHT purposes, then you won't lose the iht relief as long as you reinvest in another AIM share within a reasonable timescale. Better still don't die for a while...
Funny how the market seems to have decided that 640 is fair value now, despite the absence of any numbers in the statement.

Further to my earlier comment on the Ideagen takeout:

“The HG deal values Ideagen at approximately £1,058 million, implying an enterprise value of £1,092 million. That’s equivalent to a multiple of 11.9-times enterprise value to annualised recurring revenue and a multiple of 33.9-times EV to adjusted EBITDA (earnings before interest, tax, depreciation and amortisation, according to Shore Cap calculations.”
