The figiures are from the Edison report so I assume these are market consensus.

In relation to the AGM votes I think that due to the big share price drop on the Acuant purchase big shareholders want to be involved in the decision of future large acquisitions.

The dividend is barely relevant, unless you were an original investor 100p?

What do the AGM votes mean ... big shareholders don't want any more dilution unless they get offered first?

At the AGM, the Board of Directors will propose a final ordinary dividend of 3.81 pence per share (FY21: 3.40 pence), amounting to £9.6 million (FY21: £6.7 million).

This is being paid on 3rd August.

At the AGM 2 resolutions were not approved :

13. Authorise directors to disapply pre-emption up to 5%
14. Authorise directors to dis-apply pre-emption up to a further 5% in connection with acquisition or specified capital investment

The FY23 expectations are revenue £300.8m and Adj operating profit of 72.2m.

Macro trading headwinds offset by favourable exchange rate movement. So FY23 expected to be in line with expectation. Can anyone remember what that is?

A quick check back to FY22 report and it forward guides 10.5% revenue growth to £265-270M with a gross margin of about 25%. A shame we didn't an AGM update on net debt which is a good test of how things are going.

If GBG is truly performing to plan then the share price looks seriously cheap, except that forex gains are no substitute for real business growth. Are we ready for an uprating, maybe on the tails of a recovery in US tech outlook because the Fed mumbled it might not keep raising interest rates forever?

Only time will tell with regards recent acquisitions - it's not unusual for some SH pain at such a time - that plus the wider market going south! I personally think the mark-down was overdone but I also accept that any neg news from GBG would make any recovery a long time away! Dividends? With a stock like GBG? Never heard that issue mentioned when investors were banking 10-baggers! Ahh now we have a little turbulence & folk want a parachute! No! You can't have your cake & eat it! Alas! The trials & tribulations of the stockmarket? Don't you just love it!

Sorry done little wrong ever is OTT for me, I wouldn't say the divi was great for a starter and the recent buy hasn't exactly enhanced the share price has it. Perhaps getting close to a tenner was a bit OTT as well and obviously unsustainable with life getting better, however I hope I'm wrong...... there's loads of value out there..

Very rarely their statements are anything but positive - really they have done little wrong - ever! However their recent expansion & heavy investment has taken it's toll on the SP! If this outlay bears fruit then Longer-term or even medium-term (depending on market conditions) GBG will regain its mojo - hopefully upcoming trading statement will give reassurance on all fronts!

Signs of life again @ GBG but directly related to the recent broader market improvement. Still, even at today's price surely someone out there must be considering a bid? It's been a long & successful journey for GBG but I feel the time is ripe for change.

Hi new to this BB so apologies as may be playing catch up.

Agree with Hot, seems very low for the sale by Audax. From the acquisition announcement, the Audax consideration shares were valued at the Placing Price of £7.25 so they are taking quite a hit in order to exercise sale at the first opportunity (6 months after completion). At least Acuant managers are tied in for 24 months before selling.

Extracts from announcement:

"Under the terms of the acquisition Rollover Shares equivalent to approximately $94 million will be issued to Audax representing approximately 19% of the value of their holding in Acuant. Similarly, Rollover Shares equivalent to approximately $23 million will be issued to Acuant management, representing approximately 28% of their holding in Acuant. The Rollover Shares shall be priced at the Placing Price and the number of Rollover Shares to be issued and allotted to the Rollover partners calculated following determination of the Placing Price."

"The Rollover Shares will be subject to lock-up arrangements pursuant to which Audax and the managers receiving shares will, subject to certain customary exceptions, be restricted from disposing of the Rollover Shares owned by them for, in the case of Audax, 6 months from Completion, and in the case of Acuant management receiving Rollover Shares, 24 months from Completion. Audax has further agreed that for a further 6 month period after their initial lock up period, they will affect all sales, transfers or other disposals of their Rollover Shares through the Company's Nominated Advisor so as to help maintain an orderly market."
