The rules
imo, 5% applies to 5G





A person must notify the issuer of the percentage of its voting rights he holds as shareholder or holds or is deemed to hold through his direct or indirect holding of financial instruments falling within ? DTR 5.3.1R (1) (or a combination of such holdings) if the percentage of those voting rights:
(1) reaches, exceeds or falls below 3%, 4%, 5%, 6%, 7%, 8%, 9%, 10% and each 1% threshold thereafter up to 100% (or in the case of a non-UK issuer on the basis of thresholds at 5%, 10%, 15%, 20%, 25%, 30%, 50% and 75%) as a result of an acquisition or disposal of shares or financial instruments falling within ? DTR 5.3.1 R;

Personally think they’ve been selling to keep below, someone has in relatively large whole amounts.

Thanks for that OI.So if they don't declare we can assume they are using 5% as an initiating threshold and that they've previously sold down to ensure they don't breach 5%.

Assuming I haven't missed any other settlement notices (listed below) 5G Fund have been issued 3,815,975 shares in total - 7.39% of new total, up from 4.21% at previous issue, assuming of course they haven't been offloading.

As you mentioned on the other board, if they are "taking advantage of the overseas 5% threshold thing" they've only just crossed the threshold.





This is mostly academic although it sounds reassuring to declare a 7% holder.

Cheers OI.It's going to be interesting to see if they declare or not. I'm of the view that the 5% level applies to overseas issuers such as ENET, that's my reading of the FCA handbook. Dallo on LSE , our 2m holder, says he was clear he had to declare one he had gone over 3%, that ENET and the nomad told him that was the case. I'm sure what he conveyed on the BB was correct. But ultimately it is for the holder to declare, after reading the rules. The Nomad has no influence here. Clearly 5G and ENET have a good relationship so it will be interesting to see what happens. I'm not expecting a declaration but would be delighted to be proved wrong!

OIRe 5G clearly not selling. They have been issued shares in the past, the total issued to them has been over 3%, so they have sold some or all of the shares that have previously been issued to them.This latest batch will, as you say, take them to a notifiable level, although I'm not sure if they might only have to declare once over 5%, as ENET is domiciled overseas.Anyway, we should see very soon.av

outlawinvestor.....IMO 5G Innovation Leaders Fund LLC is a vehicle for the funders of Tarana. The LLC was established 20/8/20 and on 25/9/20 the share subscription agreement was announced by RNS by ENET. So 5G Innovation Fund was set up just for ENET.

Tarana has a number of high wealth individuals behind it and they would want to have control/serious influence over the technology that their service is based on.

Hence, I think both Tarana and ENET have the same funders behind them.

Tarana in India is based on....yes of course....100 Innovation Park, Pune. Probably that is where the new production facility will be based.

All me theorising but hell maybe....

5G Fund holds 3.49% of the new number of issued shares. Will they confirm it with a TR-1? Clearly they were not selling as some people have been suggesting.

RNS 25/9/20:

"The number of subscription shares to be issued will be determined by dividing the gross subscription amount (or a part thereof) by the average of five daily volume-weighted average prices selected by 5G Fund during a twenty trading day period immediately prior to the date of their issue, rounded down to the next one tenth of a penny (the "subscription price")."

If you calculate £500,000 at say 32p you get close. I have not calculated it but assume it is right!

that's what I would have thought, but (438,000 + 500,000)/1,8xx,xxx = 51p way above current price. I would rather have expected a discount?

donaferentes....they pre-pay the contributions and then have the shares issued later. Therefore the 1,805,054 shares relate to the previous £500,000 not this £400,000. Sort of deferred shares

RNS 4/3/21:

"However, given the recent progress by Ethernity in executing its growth plans, Ethernity and 5G Fund have agreed to accelerate those investments to make the third tranche investment in the next five business days and to make the fourth tranche investment in the coming four months."

So...fourth tranche paid 7 weeks after the RNS, not 4 months. What does that tell you? Tells me that ENET are going like the clappers and that 5G Innovation Fund (who would have management accounts, sales prospects etc etc) are fully behind the company.

OK...reading the runes but it is pretty clear to me. RNS in the next 2 weeks regarding new contracts. This funding is getting ENET ready for higher production.

All IMO but 80% of the time I am right.

Yes. Quite a lot. Not enough as it turns out but cannot complain.
