Just had another look and the RNS is so obliquely written that I reckon they can keep issuing shares and flogging them on as much as they like. I guess you'd have to read the actual legal agreement if there is one and then hope it'd held up under British law.

Best of British with that.

It is not difficult to understand as long as you have an IQ of 180 and can allocate 3 days to analyse the RNS!

The loan is £800k.
New Tech (Bergen) get 40m shares up front at a price to be determined.
New Tech get a contingent warrant for an unstated future number of shares.
Until 7/7/24 New Tech could convert another 40m shares at 1p to complete repayment of the £800k adding in the original 40m shares (which they won’t of course)
At 7/7/24 Tech Trch can convert warrsnts to repay their loan
They can convert at VWAP less 15% of five lowest days in previous 20 trading days
Say on 8/8/24 this is 1.2p
Thry can convert a max of £800k less (40m * 1.2p) which is £320k at 1.2p so 21.3m shared. The original £40m are valued at the 1.2p exercise price so loan considered repaid at that moment.
Instead if the VWAP is 0.8p on 8/8/24 they can convert a maximum of £800k less (40m * 0.8p) which is £480k at 0.8p so 60m shares.
If they only part convert the balance of the loan then the calculation is done again on the second conversion but with the loan £800k reduced by the value of the shares converted on the first conversion. So if 1.2p snd 15m converted the £800m is reduced to £620k.

That’s the way it works.

Actually I've just had another look at the funding agreement and although it's very hard to understand, as far as I can see whether the price is above or below 1p at the time of exercise New Tech can get a minimum of £800k new shares for free on top of the loan and possibly as much as £4m of free shares.

I thought I'd explain the fundraising to you all.

New Tech, whoever they are, get 80,000,000 shares for 0.15p each and then sell them into the market.

ENET still owe New Tech £800k.

Where did that 40m dollars go?

Tarana clearly have to reorder, its the monthly run rate investors can see from it that is important and how this supports Enet monthly spend.

Outside tarana, flip a coin as DL and ENET history has been poor on understanding customer behaviour.

What would be the lead time to buy blank FPGAs for a new Tarana major order that needs paying for up front? About 45 days.

Thinking way outside the box here, but I am interested to know why a 45 day limit was put on the 40 million tranche of shares and will be interesting to see what it is set at after that time period.I am beginning to believe that the BOD only intended to use the funds raised, as a short term loan, but needed it to start production for a new contract in the pipeline.To avoid overpaying for the loan, or Bergen losing their money, the 45 day limit was agreed. I think this is a fail safe mechanism that protects both Ethernity and Bergen.Bergen, because if contract news does come and the share price rises they would recoup their money if the share price rises above 2p, but also if the contract negotiations fall through, the falling share price will allow them to recoup their money through an increasing share allocation.I think Ethernity benefits first of all by having funds available for working purposes. Possibly starting production to reassure a possible client that they can fulfill an order, but also if they are confident that contracts will be signed and the share price reacts accordingly, then it has only cost them 40 million shares to achieve financial stability.So as other posters have said, we have up to the 7th July ( I think) to sign up some new business.If there is a slight slippage in the signing, then I will look forward to the re-pricing of the 40 million allocated shares with great interest.Negotiated Price remains around 1p for those 40 million then news expected. Price reduced substantially and we can expect a negative outcome.Just my thoughts, but I think we are close to news. Good luck everyone.

Good. I think the RNS is more relevant that what we “interpretR21; it means. Anyway, down to the two weeks when things might happen. I expect Tarana news first days of July. Then new remote OLT contract. Otherwise…R30;.nkt going to be pretty.
