There is no such thing as Chesterfield. My understanding is that Chesterfield is one of the directors. The RNS states Chesterfield will convert their loan at 0.65p. How they can be paid back is at the direction of the directors. This I assume to mean placing shares then paying back Chesterfield in cash.

RNS 11/10/22 - "- Chesterfield Capital Limited have confirmed that the outstanding balance of £500,000 due to Chesterfield Capital Limited will be converted at the previously announced subscription price of 0.65p. Such subscription to settle all balances due from the Company and to be settled by the issuance of shares at the earlier of (a) the approval of a prospectus, (b) the direction of the board of the Company and (c) 11 April 2023."

A staggering volume, must be forward selling, but at a loss? They can't issue more sub 0.1p, unless they get authority.

Can they get authority when a shs is suspended?

Normally yes but as the stock appears to be heading for suspension either as a result of late accounts or RTO the MMS don't have to scramble for stock. They can wait for the prospectus with the new shares. Assuming the company does not call in the administrators before then.

They are raising money to survive suspension. People could get some below sub 0.1p.

It did rise from 0.04p remember that.

Maybe a punt on the last day of trading 31st of October. I doubt they will release financial statement

The lack of cash may also be the reason they had to sell Arlington. Suspension pending clarification of the company's financial position looks like a real possibility here. Just my views. Be careful.

No its not good because without shares there is no money and without money the auditors cannot sign off the accounts due 31/10/22 as a going concern for the next 12 months. They raised cash from the sale of their energy groups but it may not be sufficient for the auditors. They've had problems with the FCA and the prospectus since January 2022.

Be careful.
