The Group has in place an incentivisation scheme through which Sir
Martin Sorrell and other executives will be rewarded for increases
in shareholder value, subject to certain conditions and performance
hurdles. Sir Martin Sorrell has subscribed for 4,000 A2 Incentive
Shares in S4Limited. S4
Limited has further authorised the issue
of an additional 4,000 A1 Incentive Shares. If the performance
condition attaching to the Incentive Shares is satisfied and certain
other conditions are satisfied, the Company could become obliged
to issue Ordinary Shares in satisfaction of the rights of the Incentive
Shares. In such circumstances, the holders of Ordinary Shares may
face significant dilution. Further, in certain circumstances, including
a sale, merger or liquidation of S4Limited, the holders of Incentive
Shares could become entitled to up to 15 per cent. of the growth in
value of S4 Limited.
