Shares in the cash shell behind Sir Martin Sorrell’s new vehicle rose almost 50 per cent at one point after they started trading yesterday afternoon, highlighting concerns that the market for its shares would be volatile before a planned reverse takeover.

The UK Listing Authority is understood to have initially blocked the relisting of Derriston Capital — whose shares were suspended in May when the reverse takeover was announced — because of concerns that there would be a false market. This is because the share capital of Derriston will represent less than 1 per cent of the enlarged group once a reverse takeover by Sir Martin’s S4 Capital is completed.

However, in an abrupt change, the authority lifted the suspension of trading yesterday afternoon.

Investors sent Derriston’s shares up sharply. They closed up 4½p, or 40 per cent, at 16p. More than 8 million of the 25 million shares in issue in Derriston have already been traded.

Sir Martin, 73, turned WPP from a wire basket maker into the world’s biggest advertising and marketing company over 30 years in charge. He left WPP in April after an investigation into his personal conduct. He denies any wrongdoing.


He is using Derriston to build his “next generation” advertising company. Derriston is due to seek shareholder approval on September 27 for the reverse takeover of S4 Capital, the vehicle for the new advertising venture.

In a statement yesterday, shortly before the suspension was lifted, Derriston warned there “can be no guarantee that the outstanding conditions” on the acquisition will be satisfied.

Sir Martin has put £40 million into S4 Capital and raised £11 million from fund managers.

The UKLA declined to comment.

rakepat37 - most posters here are not (yet) invested - there has been quite a bit of news on this company over the last few days. So what's wrong with people saying either it's worth investing in .. it is not worth investing in .. or don't chase a spike? As always DYOR and decide for yourself but take ALL comments on board imho

There's a reason the City paid 10p per share for Derr and why they are flipping into the volume generated by retail rampers. This is a nothing but a "herd" play. Certainly not an investment case at nearly double the readmission price.

Weekend rampathon in full flow now with the usual suspects on LSE and Twitter persuading the gullible to pay a massive premium to the share price on readmission so they can exit with a bag or two.

Why should anyone pay 2 times cash for what is essentially a cash shell?

Interesting but isn't this going to be a cash shell looking for an acquisition in 3-6 months time.. my point is that I hope the valuation is sensible ie. always risky when a share price goes ahead of events and multiples of actual NAV - still... looks like a decent short term trade at the very least (considering the interest)

All you need to know is theres 25m shares and on a quiet Friday afternoon, 13.8m of them were traded. Its been in the Times today with a proper write up and the LSE BB is like something from a few years back.

Just read article in the times about the weird midday listing yesterday. It was due to the UKLA abruptly reversing their decision on the listing not to do with timing to coincide with the US open. Apparently they had blocked it earlier in the week due to fears of a false market. Loads of media coverage this morning so Monday could be fun..

70's and past it?? That's a lifetime of networking and personal relationships with those at the top.... Worth it's weight in gold, especially in this field. Whilst I have reservations about the new share structure (b share!!) and find the man arrogant and annoying, I can't fault his business acumen which if it makes me money then I'm more than happy to invest!!

As I posted earlier Sir Martin Sorrell of WPP fame is giving everyone another chance with DERR

These types of opportunities are very rare and generally only occur once in a life time

DERR will continue northwards next week and it would not surprise me if DERR went on to hit 100p+
