GEM only invests after identifying management teams with world-class expertise and capability and providing them with the tools to excel

And my favourite

GEM primarily deploys capital in late stage or expansion situations.

There is more news to come on a transformational deal IMHO but good luck to those that have chosen to take some profit, its long overdue.

Hopefully we will get more meat on the bones soon kenner but in a nutshell -

If GEM give CRV £1m to invest, they receive in return shares currently worth 0.475, an immediate 60% paper loss. Are they therefore confident enough in CRV that they will recover this and make a profit? £30m says they are.....

This is a game changer but MAY go unnoticed for now

I'm in a state of shock ... an RNS !!!!

Craven House Capital plc ("Craven House" or the "Company")

Craven House Capital and GEM Global Yield Fund Sign Stock Purchase Agreement valued at up to £30 million

Craven House Capital (AIM:CRV) is pleased to announce that it has entered into a stock purchase agreement with GEM Global Yield Fund, a member of the New York based Global Emerging Markets Group ("GEM"). Under the terms of the facility GEM will fund Craven House with up to £30 million through a structured stock subscription agreement. Under the terms of the agreement, funds are provided from GEM, with limited restrictions, at Craven House Capital´s discretion through the issuance of new Ordinary shares in Craven House. The facility is designed to provide equity capital on an as-needed basis in support of future transactions and to provide additional capital to existing portfolio companies.

Craven House Chairman, Mark Pajak, explained, "This agreement provides Craven House with significant permanent capital to support future acquisitions. Having fresh capital available will speed the rate at which Craven House can continue to build value for shareholders over the long term. As with all previous issuances of new Ordinary shares, we do not envisage issuing new shares below 1.25 pence per share. We now have a strong financing partner in GEM. We look forward to working with them in seeking transformational acquisitions for the Company and are currently evaluating a number of opportunities; there are no guarantees that any of these will be completed, but further announcements will be made as appropriate."

Morning, is it just a coincidence that there are a few old PINNers on here as well as Sir David Jones? Meant to ask last week but forgot.

Confirmation then that May 2013 RNS (an issuance of shares to the Chairman as a
fee for website maintenance) breached market regulations by failing to disclose
the recipient and was a non-disclosed related party transaction. How many other
deals over the years have failed to be disclosed as related party transactions?

You must have time on your hands today BBR to be dredging through documents so old looking for mischief.

I am sure you know that Mark and Michael Pajak are one and the same. ( and no I have no idea how you shorten Michael to Mark either!)

Smallprint in the 2013 annual report (the May RNS didn't disclose the recipient):

"730,000 new shares were allotted to Michael Pajak in lieu of services rendered
totalling £9,125"

What's the relation between Messrs Michael and Mark Pajak, and shouldn't the RNS
have disclosed that issue of stock as a related party transaction? If those were
issued to fix the website it may be time to issue Michael Pajak some more shares

Most likely BB, its not like CRV have an IT department !

Hopefully his focus is elsewhere currently.

Doesn't Mr Pajak 'do' the website? It does tend to go offline rather a lot.

What's the latest on the exciting bicycle & sports apparel distribution company
trading as Trek Distributors that CRV paid $2 million to acquire a 49% stake in
then failed to inform the market when Trek terminated the distribution contract.

CRV failed to impair that $2m book value despite saying in the accounts for the
period where their investee company lost the rights, that "Company policy is to
hold an investment at cost unless there is a reason to mark down the investment"

The website is still down, however the error given is commonly caused by switching the website from one hosting platform to another......

Surely we cannot be getting a new website !? That would be 2 bits of PR in a week, I would have to have a lie down.....
