Well this is thrilling....

However this may be of interest -

According to the FT the RTO transaction value of Qeton into Desmonds is £272m.......

As Qeton appears to be a shell I assume thats the value of AP Vos and Desmonds?

Craven appear to have set up a new holding company as a Plc with the same director as Qeton. CRV will not confirm or deny this, so far.....

£272m would do......

Any momentum buying would see us fly North, it may take the long awaited news for that, but it is looking a little more encouraging.

Without doubt Karina this could be seen as a "once in a lifetime opportunity" to make serious money. Considering that CRV acquisitions in the past have ALWAYS been conducted with shares at a valuation of 1.25p, it is very hard to imagine them doing any sort of deal below that. Mark Pajak has already stated he would not drop below that figure anyway.

Like yourself I sleep easily at night, but also of course get fed up/bored with the current waiting..Others aren't joining in because they either don't fancy the "jam tomorrow" bit, or prefer to buy at a much higher level once everything is confirmed.

I have often stated that I would be a bit more cautious if we didn't have huge assets and money in the bank, but we do..and downside risk is miniscule imo.

I seem to recall Sir David paid 56 for some of his?

Bit of a stalemate at the moment, no PR to attract new investors and us LTHs seem loathed to invest above our averages......

With what we know abut the potential here and the setting up of a new vehicle for what we suspect is an RTO, may we kick ourselves at not being braver? I am HEAVILY invested here already but do think this presents a once in a lifetime opportunity....... time will tell

A lot of heavy money entered in the 50s Steve, and when one considers that Evan Kalimtgis came from nowhere to now own 26.4%, I seriously doubt that he is anything other than in the loop.

Its all very boring and frustrating waiting as its been an eternity since the last deal, but all the clues are there, and I would rather be in than out

RE: CRVWed 16:18Agreed TC, new buyers aren't likely. After Karina's find earlier this week I think I remember 2 or 3 existing holders saying they might add. I may myself but probably only 400k or so at most. Would take my average up slightly but I'm not worried about that when big holders are paying above that anyway

CRVWed 16:00What would throw a spanner in the works would be if other buyers appeared, that seems highly unlikely at this time as people generally need a reason to invest, and unless you have a long term view you aren't going to put money in here.

But surely we must be close?

CRVToday 16:25That 1m trade is a bit odd. Must be a sell and if so they've raised the bid on the back of sells. If so then they must be desperate for shares to fill an order.

RE: CRVToday 17:15I would say that's almost certainly a buy Steve, looks exactly like the type of trade Evans or Sir Davids broker can conjure up, whilst us mere mortals are being asked to pay 49p.

I would also suggest they are in for many, many more given the change in limits today......

Even after those 2 sells the MMs are wanting shares badly, they will currently take 3.75m if you are that way inclined..

It certainly suggests there is a huge buy in, or maybe they have read the posts on here..

I have had a look at Craven House Industries this afternoon TC Its articles state-

"To carry on business as a holding, investment or management company by the acquisition or upon the security of shares, stocks, debenture stock, bonds, bills, mortgages, obligations and securities of any company or any other entity or body"

The share capital is 50,000 euro and the shareholder Desmond Holdings Ltd, Hong Kong.

Mark had to give permission from Craven House Industries for the incorporation, Craven House Industries are part of CRV. "The group financial information includes the financial information of Craven House Capital plc (‘CRV’) and its subsidiary undertaking, Craven House Industries Limited (‘CHI’). CHI was incorporated during the year ended 31 May 2013 under the laws of the Republic of Ireland and as such, the 2012 figures presented relate to the Company only as no group existed as at 31 May 2012. CHI acts as an intermediate holding company for the Group’s investment in Finishtec – Acabamentos Tecnicos em Metais Ltda – ME. CRV owns 95% of the issued share capital of CHI."

I have always fancied as you know a takeover at some point. We have the VOS deal with Desmonds investments worth $32m, who then proceed to takeover Qeton, then they form a new company 3 months later, it must be all linked surely.. The common denominator in all this? Mark Pajak.

In the UK, there are rules for such bids, regulated by regulators such as the Takeover Panel. There is a 30% threshold at which a Mandatory Offer must be made. This is considered to be reached when a concert party jointly hold 30% of the shares in a company, not when one of them does. The same applies to other financial instrument holdings such as derivatives. Some entities are presumed to be acting in concert unless shown otherwise. These include the directors, subsidiaries, associate companies and the parent company of the bidder. Even entities that are not part of a concert party may find that rules applying to them: they are required to disclose dealings in the share of the bidder or the target. These "associates" are people who have an interest in the outcome of the bid (other than simply as shareholders) but who are not deliberately acting in concert with the bidder

How else would Evan and Mark realise their share holdings? Anything over 1.25 will do me fine ;-)

Nice to see all the bits coming together, slowly yet surely.............. I have always fancied this as all or nothing and have taken a big gamble having such a large chunk of my PF in here. Thanks to Karina and Tully for there continued research and sharing with the regular readers or posters. I can't believe how un fancied we are but when the inevitable news is released we can sit back knowing we are all well in and we can watch the ride up. I don't think I'm being unrealistic to one day say this share could well worth pennies. Well let's hope so anyway. At the time of writing it would appear Gillingham are top of the 1st Division so the planets are aligning! Have a good weekend everyone..........

About three weeks ago I emailed Mark and asked him to ring me so that we could have a general, none sensitive chat about CRV. Mark kindly emailed me back by return and said he would ring me the following week. Bingo, the following week I received the much anticipated call and we had a ten minute, general, non sensitive, professional, adult conversation about CRV. Mark did not discuss specifics, but I do firmly believe that a lot of work is going on in the background and that something is quietly cooking away. Mark came over as an extremely professional and competent CEO and I am of the opinion that our LTH's patience will be well rewarded. The last few recent posts by Tully Crow and Karina 1 add a few more pieces to the jigsaw and I will be buying more shares. Good Luck to ALL LTHs.

Further to its news release dated December 22, 2014, Desmond is pleased to announce that it has entered into a definitive share purchase agreement (the "Qeton Agreement") to acquire all of the shares of Qeton Ltd., a private Irish company. The Qeton Agreement is the second of two agreements entered into by Desmond in connection with a transaction (the "Transaction") that is expected to constitute a reverse takeover under the policies of the TSX Venture Exchange (the "Exchange"). As part of the Transaction, Desmond previously entered into a share purchase agreement to acquire all of the shares of AP Vos & Sons (Pty) Limited and its related companies ("Vos"). No reason to sell.

Stalemate.
Simple.

This BOD continually talk about transformational deals and have done for 16 months.
Shame they can't actually close any.
Always an excuse I'm afraid.

As for the rumour mill..I spoke to a director last week and am confident that there is a big deal currently being worked on, also at least one other significant shareholder spoke to Mark Pajak recently (its up to them whether they wish to share that on here). I am certainly not worried, BUT..I would be if we didn't have considerable assets which dwarf our current MC of £3.5m. Assets such as what we have like land & agricultural interests are ready made cash, so I see very little downside, but that's opinion only. There were no trades whatsoever the whole of last week, that tells you how far under the radar we are, and the blame for that can be firmly laid at the feet of CRV.

But..I did speak to one of them yesterday and very happy to keep my holding, they certainly haven't been idle, their problem is communication. EK bought for a very specific reason, there is no doubt about that. FWIW Things might be turning as they will only sell 150k at full 0.45p (currently), that is down from 1.5m yesterday. It can of course change anytime.
