Just saw your post and apology for late reply. I AM NOT TARA! I am a holder who still has an interest, despite selling bulk of shares 2 years ago. Have never posted till 2 weeks ago. I am bored now of having to repeat denials about “Tara” over and over. Look, DYOR, you’re all bright people, but if we delist, bottom line, there is NO market for our shares and any future earnings by Cbuy (laugh if you wish!) are IRRELEVANT. Let’s roll the dice, our current holdings are worth diddly-squat. Thanks again to all for reading...vote against...at current share prices, you have nothing to lose...all IMO as always...

Hallo Trout...I did reply before but it seems I didn’t post successfully, apologies...anyway, I am NOT “Tara”, and have never posted on Cbuy or any company until some 2 weeks ago, and only did so because the “last-chance saloon” had arrived. I totally understand that some people think “no hope”, but IMO the ONLY “no hope” scenario is if we delist (reasons given in previous posts)...I too cannot easily see how Cbuy can thrive, but the new reduced cost structure will IMO give us another 12-14 months to TRY to make headway with PHBChoices. If we have to delist/go bust after those 12-14 months, so be it...but why irrevocably lose any market for our shares NOW, plus ISA issues, SIPP issues,when not necessary? All IMO, of course, but WHATEVER you may think of the BoD, and assuming you’re still a holder (I sold bulk of holding way back but still have an interest)then why not try to salvage SOMETHING from the wreckage?

Trout, “pro rata” is the key phrase. 1 share held = 1 share votable. 1 million shares held = 1milljon votes. I hear you about shows of hands being possible, but firmly believe the fact that, as the Circular said, 75% or more of votes actually CAST need to be in favour of resolutions for Board to win their motions. So clearly the “against”; camp need 25.01% of votes actually cast.

ip10, I posted a section of the Articles of Association of Cloudbuy PLC and you try and tell me it is wrong. Go and read it for yourself. The Articles of Association allow for, 1. The vote can be taken on a show of hands in the room and those votes are pro rata to the votes held by each shareholder present. 2. The Chairman can call a poll, where all proxy votes made before the meeting can be accepted. 3. There are other ways of calling a poll, but for PIs it needs 5 members on the share register (or who have got written statement from their Nominee Broker) to call for a poll. Now I don't agree with the argument that it is Sella wanting this private and not the Duncan's/BoD, I believe squarely they want it private to carry on as they can without the publicity of a PLC and that they have sold down their holding to recover some more cash before it goes private. I also believe they did this with confidence that the vote would pass. Now who is the Chairman that is able to decide whether the proxy votes are taken into account or just pass the motion on a show of hands???

Troutisout...letR17;s keep this business-like? I have never “told anyone what to do” about Cbuy, merely stated facts and opinions. With regard to the voting methodology, my firm understanding is that motions will be passed if at least 75% OF VOTES CAST support them. “Votes cast” being the proxy votes already cast plus those votes cast on Monday in person.

This doesn't look good at all really, completely being run down to the ground. Also the spread says it all at 60 percent,so a 10 grand buy will be a 4 grand bid. Not very inviting for big investors, it just attracts the chancers that are at the end of there capital. This was very quiet before the drop, funny that really as why should there be more interest now as its in a worse state than before. It will go quiet again,and many will be locked in and talking to themselves until the end.

Ladies and gents, I really can’t say any more. Only those who haven’t yet proxy-voted and who are ok to travel to HQ on Monday (with correct papers) can now make further difference. Please, no ping-pong comments? We all feel the same about the Duncans, and you all have my sympathy...I’m in this too since flotation in 2006 or so...but if there are ANY votes left to cast, please for your own sakes vote AGAINST on Monday (with correct forms, you’ll need these from your broker TOMORROW). You’ve all read my comments, and again, I know the company VERY well. I have been to many AGMs... Whatever Cbuy tell you, you can get via PDF etc the needed forms TOMORROW. As ever, good luck to all.

You all deluding yourself and others, if they want to take it private they only need to do a vote on a show of hands at the meeting, those members present vote on the motion, only if a poll is called do the proxy votes come into play. Now the Chairman can call a poll, but they will know the numbers beforehand, so if they want to take it private then they have an easy way to do that, have Sella at the meeting and the vote goes through on a show of hands....No call for a poll and the motion is passed.... If you want to come onto BBs and tell people what to do and what is what, you might want to learn 'Greek'....

I believe in Ron,he's not a complete cun£ as everyone is suggesting. Both he and and his very attractive wife are good,hard working individuals with great morals. He has told us multiple times how they are going to get billions in ventures so we have to show some faith God bless you Ron. Xxxxxx

I must confess, that’s all Greek to me! Thanks though. BUT...simplest way to win against motions proposed is to have voted against already by proxy through platforms/brokers or to vote in person against on Monday. All IMO...good luck all!
