How will new investors be moving in at half price paid... apart from the £1.15m shares at 4.1p, which is a 1/4 of the total consideration, they paid cash...the cash element doesn't reduce if the share price crashes, does it???

Even in the unlikely event that Byotrol paid too much,new investors can currently move in at half the price paid.

Win win then; unless that is one has a downer on the Company,in which event,even the good things are bad.

Did they pay too much?


They bought Medimark, a yr ago as follows..:
1) Initial consideration of £2.3m
2) £0.4m Medimark debt
3) £1.15m cash
4) £1.15m from additional shares @ 4.1p
5) £1.8m deferred subject to achieving EBIDTA targets...

Total consideration £4.5m for a company making ADJUSTED EBITDA of ONLY £380k on revenues of just £2.7m...



"year ended 31 March 2018, Medimark reported adjusted EBITDA of GBP380k on revenues of GBP2.7m."


"Consideration of up to GBP4.5m is payable in respect of the Acquisition, which includes GBP0.4m of debt that Byotrol is assuming.. Initial consideration of GBP2.3m is payable on completion, being GBP1.15m in cash and GBP1.15m from 28,048,780 new ordinary shares ("Ordinary Shares") being issued at 4.1p per share. An additional GBP1.8m of consideration is payable subject to achieving EBITDA targets in FYE 31 March 2019 and FYE March 2020. The deferred consideration is also to be paid half in cash and half in new ordinary shares."




The placing price @ 4.1p, the current share price is around 50% lower @ 2.1p.

My view is that Medimark Scientific will prove to be the engine for growth and this could well become apparent in the short term.
The US venture remains speculative in the eyes of the BoD;although they felt that the cost was manageable and worth the risk.

Byotrol shares continue to look cheap.

So after a year of trials, you would expect FULL rollout to ALL Target stores...
Were products in the trial sold on SOR basis or provided free???

Also what happened to the new customer that they were 'close' to securing?

By the time they publish the results, the fy figures, fy March, will be 6 months out of date.... and H1 also ends end of this month...

With the chart looking as though the share price might be about to go higher,would anyone venture to hazard a guess at the BYOT share price on BREXIT day or October 31st 2019?

I could see 3.75p being achievable.

Byotrol will have been concluding the purchase of Medimark Scientific, necessitating a cash or share based earn out payment.
In the event of the awaited results being positive,this will prove a tricky call for the BOD;whilst(yet another set of)disappointing figures would point towards an all share deal.

Whatever shade the prelims deliver,the figures will look very different to those of 2018.

Fingers crossed.

The fact remains if they don't announce the results by end of this month, they will be delisted.


It is worrying because they announced the TU nearly 4 months ago so knew what they were expecting...
It is usual to publish 'post period' statements.

Not sure why the "delay" is worrying, and not really hugely surprising either, is it? Byotrol were later than some expected with the [edit] TU weren't they?

In this case, I understand the reason the results are a bit later than might have been expected from previous years is again having to incorporate the Medimark part of the business. In previous years, Medimark took advantage of the small company audit exemption entitlement, so the audit of Byotrol's full year results will be the first time the Medimark results have been through formal audit at all I think.

I think we might get a "notice of results" statement shortly.

No argument that the drafting of the May TU was sloppy though. Hopefully some better quality control procedures are in place for the full year results statement.

If they don't announce the fy results by end of this month then they will be delisted.

The delay is surprising and worrying given that the TU was nearly 4 months ago, on 9th May... with the date mistake!!.


"The Group's financial results for this year include seven months of contribution from Medimark Scientific Limited ("MSL"), acquired on 30 August 2019. "

The Byotrol name being highlighted once again in a major industry research report must surely augur well for the future.
Wouldn't it be funny if, after all these years,Byotrol happened to be in the right place at the right time.

At last our mm is having to earn his money, having had a charitable seller supplying him for the past 4 months whenever he had a buyer and taking 10% for his hard work ! Much tougher now selling £20k worth at premium and hoping some sellers will help him out, he ain't having any of mine!
