Hmmmm I understand Corona virus and all this panic but you would hope that company like Audioboom will be immune to it. Why would you sell any shares knowing that the takeover is imminent and even the current price should guarantee multiple return. I think some people know more than us. With all this mess around, if you are a Spotify CEO would you spend $200 million now or wait? Purely from business perspective (not investors) it would make sense to wait knowing that Audioboom cannot really go through another turmoil without financial injection. It would make it easier target and cheaper. I hold my shares (some for more than 2 years) and I did not sell but unlike some more optimistic people here I do worry that economical/market circumstances are not in our favour and potential buyers will be thinking twice before making any move.

For sure Candy (26%+) will have the final say so together with a few other major private and institutional shareholders. But just to reiterate no minority shareholders can be left holding shares. They will follow the majority vote. That's why there was an RNS a few days ago concerning a block announcement on the issuance of all outstanding options. This tidied up the share register for the acquisition. No loose ends.

No expert here but I'd assume.Offer made,Goes to share holders for vote.Only those with a significant holding vote. Over 50% will unanimously make the decision to sell. Deal done. Only alternative I think is a share option in the buyer company relative to the sale value.

Perhaps after that new owners would decide if they want to keep the company listed or not and call on all shareholders to sell their shares to them for £x.

Am I right to think that if or when the sale happens, a company like Spotify will by buying shares off Mr C and Mr T but not from smaller investors? So effectively they will become a major shareholder not 100% owner of Audioboom?

I agree with Wooty. I think once the Saudis and Russians kiss and make-up, and it's in their interests to do so, then the oil price will climb and stabilise. The coronavirus is a lot of scaremongering and I think that will soon die down too. Markets are up today so it will be interesting to see what happens over the next day or so there is clearly some volitivity there at the moment but maybe a chance to further top-up.

Personally I wouldn't over analyse the situation. There is no credit crunch. Why would companies stop advertising. Candy is not going to let his prized investment sell for a cheap price.

What’s your view guys on possibility of the sale postponed due to potential recession and financial crisis looming? There will be less cash available around for big acquisitions + less money available to spend on advertising = less revenue for AudioBoom and it’s potential buyers. Another thing is Mr C having big exposure to a property market, how would this affect his decisions in a moment of crisis?
