Hoodless Comment on 2nd Feb 2010

Adventis (ATG, 18p, £8.49m) has announced the acquisition of bChannels Ltd for an initial consideration of £0.738m, the majority in cash. bChannels turned over £2.578m with £0.43m PBT to December 2009 and had NAV of £0.306m. A further deferred consideration up to £3.76m payable over the next 4 years dependent on profits and will be met with 75% of each consideration in cash. This is a good acquisition that is being made on an attractive rating, bringing the 3 founders into the group and which will enhance EPS immediately. The group remains a BUY with a 25p price target.

Well, I've crunched the numbers and taken a small position during this week and added a few more this morning.

Market cap £8.05m (@17p mid) with £1.34m PTP / EPS 2.18p (PER 7.8) penciled in for 2009 - confirmed in January trading update - and £2.15m / EPS 3.48p (PER 4.88) for the current year.

* Low PER - forecast 4.88 for current year
* Cash generative
* D/V 1p forecast - Yield therefore 5.88% for year)
* Latest acqusition in Feb "immediately earnings enhancing"
* Director Buys Nov 2009 £63k - Chairman and FD
* "Good start" to 2010 per January trading update
* Significant reduction in cost base - £2million costs removed from business
* Improved diversification - Property & Financial Marketing Sectors have taken a battering (hence low rating). Growth in Digital Marketing & Healthcare sectors mitigate this.
* Broker Arbuthnot Strong Buy (05/02/10)

Results will be released in next 3/4 weeks with chart suggesting that shareprice has turned.

It should be noted that the placing was at full price. Arbuthnot bought 9% of the stock and had to be satisfied that;

"The Placing Agreement contains warranties given by the Company with respect to
its business and certain matters connected with the Placing. In addition, the
Company has given certain indemnities to Arbuthnot in connection with the
Placing and Arbuthnot's performance of services in relation to the Placing"

Have this in my SIPP. Taking a 20 year view, am looking to buy more of these in the near future. For those long term investors, there seem to be some good buying opportunities out there. Will probably give it a few more weeks before jumping in though.
