No one has a clue. knew this was a gamble but FFS!

Any one got any contact details for the old management they must have a clue? They have millions of pounds at stake why vote yes and ask the share holders to do the same if they did not know the full ins and outs?

Can we not re list as AADSL and get on with it. lol

I too received today letter from TDW with the same info as Mister D Post 585.

The whole matter is so confusing. Yarraman after acquiring ADSL was supposed to have changed its name to Global Beverages Asia, Inc, and was then in discussion for take-over/merger with Drinks America. Yarraman (Global) appears to have pulled out of this in April 2009.

Yarraman listed on OTC failed to file its 10-K in time, and was supposedly delisted. The shares dived from $1.50 to 50c and no trades are shown from May 2009.

The compulsory acquisition now, the terms which are stated as 1.908 new Yarraman Winery shares for each ADSL, with 'Proceeds to be credited to your account' dont make much sense. What would be the value of the proceeds when the shares were no longer listed?

Can anyone throw some more light on this?

The directors will have lost millions if they said yes to this deal and did not check it out before hand.

Always was a gamble but hay ho fingers crossed will turn out great. Had my letter from TDW today shares to be issued. ASAP

received following corporate action notice from my broker dated 18.8.09

Yarraman Winery Inc exercised its right under Section 979 of the Companies Act 2006 to compulsorily acquire the
remaining shares in Asia Distribution Solutions on 19th June 2009. We have accepted the offer for all remaining
holders.
The terms of the offer are: For each share in Asia Distribution Solutions - 1.908 new Yarraman Winery Shares.
Proceeds will be credited to your account on receipt.

I have just received a reply to an e-mail to the company.
I have stressed that comunication is key and perhaps they might update their website with news etc.
a couple of points. the registration of the shares in the US is out of their hands, but they are doing all they can to speed things up. importantly, the drinks america deal was dropped by them, not the other way around. this was apparently due to insufficient growth potential. I was told gba continue to 'monitor' drinks america and other companies. looks to me like we have bought into a potentially very interesting company, albeit one we can't sell out of in a hurry.

just checked the offer document, bit late I know!

"The process for implementing the Offer is being refined to provide for registration of the new YRMN Shares with the United States
Securities and Exchange Commission, which may take up to six months. YRMN has confirmed that the new YRMN Shares issued to ADSL Shareholders
will provide ADSL Shareholders with clear title to the new YRMN Shares at the point the new YRMN Shares are issued to ADSL Shareholders, but
the new YRMN Shares will not be freely tradeable until the registration of such new YRMN Shares has occurred, or there is an available
exemption from registration for the resale of the new YRMN Shares"

think we better try to clarify with the company.

I received my share cert about 10 days ago, they are Yarraman Winery,Inc. Only problem is they have a stamp on them which says:

`The securities represented by this certificate have not been registered under the securities act of 1933 as amended, or applicable state securities laws. The securities have been acquired for investment and not with a view toward resale and may not be offered for sale,sold,transferred or assigned in the absence of an effective registration statement for the securities under the securities act of 1933,as amended,or applicable state securities laws, unless the company has received an opinion of counsel which is satisfactory to the company,to the effect that such registrations are not required.`

This means the restriction must be lifted before any sales or transfers can happen, anyone else had this problem?

Also i have spoken to a market maker in London, who trades in the US and they are not willing to trade in them, there has been no volume in this stock at all. And they are sceptical about the listing
