Company Update

Appointment of Joint Broker and Financial Adviser

ARC International Plc, a world leader in semi-conductor and software
technology licensing, announces the appointment, with immediate
effect, of WestLB Panmure Limited as joint corporate broker and
financial adviser to the Company. Goldman Sachs remains joint broker.

Strategy

On 24th October 2002 at the time of the Q3 Results, ARC International
announced that it was continuing to assess its strategic options with
a view to maximising shareholder value.

The Board is working with its advisers to evaluate the relative merits
of the strategic options currently available to the Company, including
a review of the Group's capital structure and requirements and its
business plan. The Board expects to make substantive progress on this
review in the month of November and to announce the outcome of this
work as soon as it is complete and ready for implementation.

The actions described in this press release are clear indications of
the Board's commitment to ensure that shareholder value remains of
paramount importance at ARC.

Nice chunky 300K buy at the end of the day, this coincided with another MM moving up to 26p on the bid, making 4 MMs moving up on the day.

I'm not surprised they turned down a bid of 35p, as their Cash Per Share is 37p and NAV is 41p. ARK have enough cash to grow and run the company for 6-7 years, more than enough time for a cyclical recovery in the chip sector, so why should they sell now for 35p!

However, I suspect they probably would submit to an offer closer to NAV, if they were put under enough 'pressure'. Time will tell.

Either way you look at it, ARK looks an attractive play as a consolidation or cyclical recovery story.

they have turned down the bid becaust they are worth 45p and above.....they will accept 40p with sahres being included....

now looking good for going towards 45p....

ARM will push these upwrds.....

looks like ARK MUST find a buyer as CONTRACTS ARE NOT BEING SIGNED.....what ever happened to the PIPELINE....its not comming through for ARK or for ARM...
