JA51: can you do a placing while you’re officially under offer by a potential acquirer? I’d be surprised if it’s allowed without their permission but I don’t actually know the answer.

It would seem logical if they could they would have to wait until after 3.30 today wouldn't it?

Took them about a week last time they held a GM (for the same reason incidentally) to announce a placing. So that would be Today!!

Yes, CQ, once he’s sold them all. It’s kind of Frazer Lang to accept the Sound offer and thus support Mr. Forrest’s price while the latter sells. Will Sound withdraw after their 28 days on the grounds that the Anguish Board declined their bid, leaving Anguish with no option but a placing?

So whilst we pass the time waiting for the JTP Holdings RNS to arrive (surely he must have to submit one) The CPR figures are now actually above the forward sells on the ICE.

site progress continues , company confidence, additional finance added in Dec , agreement via gm for additional placing if needed ( no guarantee of a placing however much the detractors say so and predict every single day since ) , approaches from multiple companies . share price up 80% in the last few days ...

Agreed HITS... a very astute summary of the current situation IMHO.

The issue with a partnership / buy-out is this appears to be a "partnership of equals" i.e: both ANGS & SOU seem to be suffering from the same serial curse of ineptitude and failure.

I guess the BOD theory is: why have one set of failing management when you can employ and pay for two! Shareholders of both companies must be thrilled!

CQ, although I'll agree that ANGS needs cash in the very near future (the rushed new authority sought and gained plus that snippet of a further "up to 10% of budget cost over-run for contingency" snippet buried in the Jan 6th RNS are fairly obvious indicators)...

...I cannot believe that this whole FSP is a mere and glaringly obvious smokescreen attempted to grease the way for a placing. Surely that's just too blatant, even for ANGS?

There is another possibility - and it's related to ANGS's ever-continuing track record of not revealing info, even though it should.

Is it not more likely, given those two separate alarm clocks of debt repayment and hedge fulfilment that are inexorably ticking down, that ANGS may have come to the realisation that there's a significant risk that it will not be able to get Poundland over the line by itself? After all, failing to do so in the required and ever-shrinking timescale would be company-ending.

If so, maybe this is a matter of even more cash being needed that ANGS doesn't think it'll be able to raise? Or perhaps the combination of already experienced delays on site, combined with new information on extra difficulties means that those crucial timescales are liable to be missed? Or both?

That would seem to me to be a more logical reason as to why George has taken the superficially counter-intuitive step of announcing an FSP right now, just as Poundland is (according to all the company's albeit continually revised estimates) about to start delivering untold riches?

I guess we'll see soon enough. Given where we are now, in my view it pretty much either has to be a sizeable placing or a board-approved offer - and regardless of which, fairly sharpish too.

The one single thing ANGS cannot afford to do is to sit on its hands and do nothing. So raise or sell would seem to be the only two options on the table for George and cronies.
