good question thecynical, i suppose if we knew the genuine reasons behind the comings and goings of the Boleven deal then we might well be better placed to ascertain Aminex's position and plans now for financing. on the back foot or the front foot?

Nope, the requirement as amended is for 4 wells by December 31st 2016. That is De-Facto.

I make that something like $40m gross ($10m per well including testing etc)

Of course the 15% is 15% of the licence, not of AEX's interest - the RNS is clear on that. It's much less clear that the security applies solely to AEX, since Solo is also the other significant holder in Ruvuma.

Whatever the detail of the figures we are all agreed that failure to drill some or all of the 4 wells this year has a material cost to AEX.

"The second extension period commenced in December 2013 and will end in December 2016. Under the terms of the PSA, the work programme for the second extension period requires the partners to carry out additional geological and geophysical studies as deemed necessary and for two exploration wells to be drilled (one in each concession area).
The minimum expenditure required is US$4.5 million in each concession area. As the partners plan an extensive 2D seismic survey over both concession areas, including seismic over the potential appraisal area incorporating the Ntorya and Ntorya up-dip prospects, the Tanzanian authorities have agreed that Aminex and its partners may amend the work programme so that the two wells required under the first extension period are transferred to the second extension period".

So it would seem reasonable, that as the work program is for "US$4.5 million in each concession area" = $9 million total, the security held by TPDC would equate to that value, and going by resent sales of KN Solo's 6.5% for 3.5 million, would put 15% of KN in the ballpark as security for that work program.

So they state this:

In return Aminex has agreed to provide security over the Kiliwani North Development Licence to guarantee the amended well drilling obligations for the second extension period. For each well drilled on the Ruvuma PSA, ( TPDC’s security interest over the Kiliwani North Development Licence will be reduced by 3 per cent. for the first well and 4 per cent. thereafter.)

So there are various interpretations on this. One and perhaps the best fit is:

Given AEX have 58.5% currently 3% of the license would be 5.12% and 4% would be 6.84%. Therefore one take is that AEX have given security over 25.64% of there current ownership. This makes more sense that being a percentage of AEX's share as it takes into account disposals such as to SOLO.

This doesn't take anything from the other parties, just sets a material penalty for failure and stops AEX disposing of the asset to 'get away with it'

ngms, Aminex could not had offered TPDC, say Bountys or any others share of KN licence up as a security, they could only have offered a % of their share of KN.

True, but since it says how it will be reduced (3% first well, then 4% for next three) and that after 4 wells the interest will be zero, it's not rocket science to work out the starting interest.
