All those that are prepard to support our challenge to the BOD please send me
approximate holdings at the moment. The more we have the more chance we have in getting GC and Co to listen. I dont want values just your holding numbers.

Mortgage Freeman, as I understand it, GEO would not be able to vote any shares it held in favour of the scheme of arrangement. The Court also has to approve the scheme. Hence why 'friends' could have been buying although I think hedge funds arbitraging is more likely. Buying cfds at 18.8p with an 19.21p exit in 3 months offers a small profit over the cost of borrowing. However should M&P offer say 10p cash plus a fraction of an M&P share worth 12p then the arbs could short M&P and buy more AMER shares in the market pushing the price up towards 20p. I'm continuing to hold as I'm anticipating further developments.

Why is there a break clause at all? It's not a competitive tender. Another couple of million down the toilet.

Have a sneaking feeling that the BoD do not expect shareholders to vote for this deal. But then it may be followed by another deal as the break clause is not onerous at £2.4m.

Its put the price out there to any potential bidders. Not a lot needed to top that!

It also means that any concert party, whether official or just out of joint agreements would be at risk of losing the lot.

Something not quite right about the 19.2p 'unanimously agreed' bid

If this had been a mix of cash and shares offer, I think that the Board might have been locked in to not being allowed to sell any of the acquired shares for a specified period. Somebody correct me if they know differently. I think this whole sale process and the recent lethargy over drilling, limited pipeline throughput etc suggests that the whole process maybe more about what certain members of the board, and GC in particular, need to do in sorting out their business interests elsewhere.
I have no intention of voting in favour of this deal. It doesn’t stack up for the rest of us in my view.

Thanks but..If GEO would have no interest in purchasing shares then why would so called friendly parties?If GEO are not then who would be buying 100+m shares on Friday? Of course friendly parties would be but that still leaves the question as to why?

Mortgage Freeman, bidders hardly ever buy shares in the market when the takeover is by way of a scheme of arrangement. The bidder wants all or nothing of the target company. If the bid were to fail the bidder wouldn't want to be left holding any shares. I am certain GEO have not been buying in the market but of course other shareholders friendly to GEO may have been.
