Rubio, Colleagues Urge CFIUS Review of Alphawave Acquisition of U.S. Semiconductor IP CompanyApr 28 2022Washington, D.C.U.S. Senators Marco Rubio (Râ€"FL), Todd Young (R-IN), Tom Cotton (R-AR), Josh Hawley (R-MO), and John Cornyn (R-TX) sent a letter to U.S. Department of the Treasury Secretary Janet Yellen regarding Chinese-funded Alphawave IP Group's intent to acquire U.S.-based semiconductor IP developer OpenFive. Alphawave, which touts its extensive business in China, is backed by Wise Road Capital, a Beijing-based private equity firm propped up by the Chinese Communist Party. The senators urged the Treasury Department to conduct a Committee on Foreign Investment in the U.S. (CFIUS) review of the OpenFive acquisition.The OpenFive acquisition would nearly double the number of connectivity-focused IPs available to Alphawave customers, as well as accelerate Alphawave's roadmap for advanced connectivity solutions,â€? the senators wrote. “[I]t would also risk undermining U.S. trade and export policies given the strong possibility that Alphawave would redeploy OpenFive’s IP outside the U.S. That would mean furnishing Chinese as semiconductor companies with advanced IP developed through U.S. technology, thus enabling the CCP to develop next-generation products in advanced semiconductor processes. Such an effort would impact U.S. national security interests, particularly given Alphawave’s continued access to U.S. technologies, as well as its use of joint domiciles outside the U.S. and beyond the jurisdiction of American export controls.â€?The full text of the letter is below.

Bear points:- $48.5m of their $89.9m revenue came from related parties.- Alphawave put $22m into its China JV (now dubbed WiseWave) last year to get the $30m of revenue back from it. alphawave invested into founding WiseWave, and then WiseWave puts that money back into alphawave as "revenue". It's just musical chairs with their own money, no real revenue.- Marco Rubio calling for Cfius review of its latest acquisition due to the Chinese links - Possible slowing non china growth as posted below.

OpenFive will be good if they allow it to go ahead. Will dilute the concern over circular revenue from wisewave. Can't help wondering if there is a potential read across from the autonomy scandal in that regard. T'is a lot of stock.

All I can think is the Openfive deal , as and when completed in the 3rd or 4th quarter, and assuming it goes through, adds another dimension and gives the company a real boost in 2023 revenues. talking $325 TO 360M even without Wiseway's numbers as I read the presentation.
However looked at, its nice to see these purchases.

Noted from a post above that the company is seeking an authority to buy back shares and has sought and, in the context of the directors and founders, obtained a waiver from the takeover Panel re making/having to make a bid for the whole company.
To quote.
"It is noted that the Company already has, and since its IPO has had, the benefit of authorities equivalent to the Buyback Authority and Rule 9 Waiver Resolution, as documented in paragraph 21 of Part XIX of the IPO Prospectus.

What is beings ought in the Buyback Authority and the Rule 9 Waiver Resolution is essentially a renewal of those existing authorities. It is noted that the Company already has, and since its IPO has had, the benefit of authorities equivalent to the Buyback"

Obviously, unutilised last year but it is an instrument that could be used at some stage, as I understand it.
