AND FEDERAL GOVERNMENT PROVIDER FORCE 3, INC.

xMax Cognitive Radio Solutions to be Included
in Upcoming US Army Contract Proposal



Sarasota, Florida-December 22, 2011-xG® Technology, Inc. ("xG" or the "Company"), the developer of a portfolio of wireless communications technologies, including cognitive radio networks, is pleased to announce that it has signed a Teaming Agreement (the "Agreement") with Force 3, Inc. ("Force 3"), a Crofton, Maryland -based technology integrator and solutions provider.

xG has been selected by Force 3 to be a named strategic partner in the proposal Force 3 will submit under the ITES-3H (Information Technology Enterprise Solutions-3 Hardware) contract awards process. The Army will issue its RFP (Request for Proposal) in February 2012, and the award will be announced in the summer of 2012.

If Force 3 is awarded the US Army ITES-3H contract, xG's xMax cognitive radio solutions and services will be used to fulfill the cellular wireless component of the award. The xMax cognitive radio solution was deployed earlier this year in six-month field trials conducted by the US Army, as well as by technicians in the Army Research laboratory.

"Their xMax cognitive radio networking system offers a compelling solution to the challenge faced by the military of ensuring robust, reliable communications that support all phases of military operations."

The ITES-3H contract will serve as a vehicle for the purchase of xMax cognitive radio equipment by military branches, as well as Federal agencies. The key technical aspect of the Agreement with Force 3 outlines the use of xMax cognitive radio access network (C-RAN) solutions to offer a cellular wireless component that extends the Cisco VoIP core and IP enterprise infrastructure, while adding extra wireless capacity to military and federal networks. This capability is made possible by the ability of xMax to operate over freely available unlicensed frequencies without the need to acquire and purchase costly additional wireless spectrum.

In addition to providing xG prospective customers with a streamlined procurement path for obtaining its products, the Agreement will give xG the opportunity to benefit from joint marketing activities with Force 3, as well as access to other Force 3 strategic value chain partners.

As the primary vehicle for the Army's Program Executive Office-Enterprise Information Systems to purchase state-of-the-art commercial server, storage, networking equipment and related products on a worldwide basis, the ITES-3H will consist of multiple catalogs for commercial IT products.

If chosen to fulfill the award by the Department of the Army, Force 3 will serve as the prime contractor and xG would enter into a formal subcontractor agreement with Force 3 to supply and deliver xMax products and services in fulfillment of the contact.

Force 3 has a proven history with the Department of Defense, having provided it with products, services and support to nearly 150 locations around the world since 1991. Force 3 is a Cisco Gold Partner, VMware Premier Partner, and Velocity Advantage and Authorized Services Network Partner for EMC Corporation.

Expert patent valuation report


xG, the developer of a portfolio of wireless communications technologies, including cognitive radio networks, is pleased to announce that the Company has received an expert patent valuation report prepared by AccuVal Associates, Incorporated ("AccuVal").


AccuVal reported on a number of customary patent and business valuation methodologies. AccuVal concluded that, as of November (Stuttgart: A0Z24E - news) 15, 2011, the fair market value from exploitation of xG's United States patent portfolio (the valuation did not value patents filed in foreign jurisdictions) was $350m.

market cap just over $100m and they have sold a license for a small part of Florida for $15m excluding military which solves the cash burn issue.

There must be significant upside from here as i thought the military applications were the near term revenue drivers

The Market Agreement, which Care21 is signing on behalf of an international investor group led by Markus Losada, the founder of Care21, is for a term of five years and provides for payment of a market exclusivity fee of a total of $15 million (the "Fee").

Despite the questions and criticisms of xG Technology, the military has opted to conduct its own tests of the cognitive-radio solution that avoids interference by assessing the radio-frequency environment in a given location every 33 milliseconds and utilizing airwaves that are available. And the xMax system tested at Fort Bliss was "exceptionally impressive," according to Mike McCarthy, director of operations for the Mission Command Complex at the Brigade Modernization Command at Fort Bliss.

Some of the key advantages of the xG Technology solution is that it inherently avoids interference from jamming and - by automatically operating on available spectrum-does not require a lot of preplanned spectrum coordination by platoons on the move.

McCarthy said the military plans to conduct further tests in the spring to "push that system as far as we can push it." The results of these tests should be of interest to many, not just those in the military. If the xMax system proves that it can provide reliable communications over unlicensed spectrum, the utility of unlicensed bands and prospects for wireless communications operating in the TV white spaces could be transformed in the near future.

xG has announced in a press release that it has received a sales order from PC3 Solutions, Inc., a San Ramon, California-based emergency communication and disaster response integrator and developer.

The order covers xMax networking equipment that includes xMax wireless access points, xMod mobile data end-user devices and a mobile switching center that will enable PC3 to deploy and evaluate a pilot xMax network designed to meet the rigorous communications requirements of emergency management organizations.

Recap: xG Presentation at Software Defined Radio Conference

xG was represented by Rick Rotondo at SDR '11 – WinnComm (The Wireless Innovation Forum Conference on Communications Technologies and Software Defined Radio) in Washington, DC last week. Rick took part in a three-person panel discussion about the commercial potential of TV White Spaces. The session was well-attended and well-received.

The panel was moderated by noted wireless industry analyst Craig Mathias of Farpoint Technologies. Craig also added a post to his Nearpoints blog about the event. He made specific reference to the importance of employing cognitive radio technologies in conjunction with geolocation databases in White Spaces.

Craig prepared a white paper last year entitled Redefining Cellular Infrastructure:Cognitive Radio and Unlicensed Spectrum in which he stated that the availability of carrier-class cellular capabilities based on cognitive radio technology like xG's xMax "changes the mobile communications game to a remarkable degree."

In the spring, the military plans to expand its tests to include several hundred different phones in a limited geographic area, McCarthy said.

"I'm going to push that system as far as we can push it, because I want to know the limitations," he said. "We're doing the same for all of the systems that we're looking at, but this system - if it proves out during our evaluation - is a potential game changer, in terms of how we can use smartphones on the battlefield."

McCarthy said he considers the xG Technology system and other solutions being tested by the military to be "complementary" to the military's own development of advanced communications that leverage cognitive radio and other information-assurance techniques. It is possible that the U.S. Army could make decision on at least some of these technologies soon, so the solutions could be used by soldiers on battlefields as early as next year, he said.

"Instead of being years away on that, I think we're closer to months away to having a viable solution," McCarthy said.

Weightless isn't the only contender vying to fill the white spaces. The strict out-of-band restrictions imposed by the FCC make white space unsuitable for LTE (Long Term Evolution, the 4G standard which is selling itself as ideal for every radio application at the moment) but Xg Technology is pushing into the space with a credible protocol, and there are other contenders waiting in the wings.
