Sharp increase in hard-hit companies exiting junior stock market Aim• New report shows rise in firms under financial stress
• 27 companies leave Aim in third quarter

Cineworld yesterday provided further evidence that the recession has only deepened the British public's love of the big screen. The listed operator of 77 cinemas in the UK and Republic of Ireland said that its box-office revenues – the number of admissions multiplied by prices – soared by 10.9 per cent over the 43 weeks to 22 October. This was despite it being up against a strong third quarter last year, when hordes of women were singing along to Abba songs in the blockbuster musical Mamma Mia!

Cineworld's two main rivals, Vue Entertainment and Odeon, are also thought to have also enjoyed robust trading during the recession. According to analysts at Nielsen EDI, box-office sales in Britain and the Republic of Ireland have grown by 6 per cent to £838.4m in 2009 and are on track for a record year

In the case of Telephonetics it's market position is more relevant than it's PE when trying to assess value.

Under-siege communications firm Spinvox is reportedly for sale, according to a note from one of its investors

The BBC says investment firm Invesco Perpetual believes the value of its stake in the company has reduced by 90 per cent from £759,000 to £76,000.

"The business has been put up for sale, and it is possible that, should a good sales price be achieved, the new valuation may be exceeded," Invesco Perpetual said in its report.

Spinvox was once the darling of the UK's entrepreneurial tech scene but during the summer, it was alleged that Christina Domecq's voice-to-text firm relies heavily on call centre workers rather than groundbreaking technology.

Shares in IT and telecoms company Redstone shot up for the second day in succession today as the board confirmed it has received an approach, which may possibly lead for an offer being made for the company

Redstone is having to support £19m of debt on £1-2m of EBITDA, and at best on £3m or so, all assuming that the company's EBITDA position has not deteriorated since March. The best case multiple of c6x was common among cable companies back in the late 90s, but 3-4x is as high as it gets these days.

Trends in M&A Valuations

On a TTM basis, the software industry's benchmark exit metric fell in 1Q09 to 1.3x TTM revenue, down 19% from 1.6x TTM revenue in 4Q08, and down 35% from 2.0x TTM revenue in 2Q08 (Figure 21).

We also analyzed 1Q09 exit valuations on a multiple of EBITDA basis. There was insufficient publicly reported data this quarter to ascertain enough private seller EBITDA multiples to derive a median exit valuation on that basis, so we analyzed public seller EBITDA multiples only. Public software company sellers commanded a modest 12.5x TTM EBITDA, down from 4Q08's 15.6x (Figure 22). Here again, the median M&A valuation reflected the trend in public market valuation, which fell from a median EV/EBITDA of 8.0x in 4Q08 to 7.2x in 1Q09. Due to an array of factors, including liquidity, many private software companies would likely be valued by buyers at a considerably lower EBITDA valuation multiple than public sellers.
