It was incorporated in 2014. The last accounts to Dec 21 show it has ZERO revenue and £2m of debt!

Does not look very promising to me. RDGC has just under £1m following the 2 loans. It will start burning cash a lot more as it proceeds with the RTO. If this one fails, which looks highly likely, then it will be lights out.

I suspect there will be many more AIM Rule 15 shells coming along as more AIM companies go bust and try the RTO gag to keep the gravy train on the rails for the BoD and advisors for a little longer. AVOID them all they are all risk and no reward.

The only one that has made it back to trading did so today and it bombed on opening. Whilst there was a theoretical paper profit of up to 50% for those who bought in the placing or got in near that price, all that and more was wiped out straight away and those who have bought today have been able to do so well below that price. That horror story is here:

Yes Ridicule.I had a substantial holding here, I had mentally written it off.But this news, which has been discussed at great length on the Telegram RDGC chat group, has led me to believe that 2023 could see a tangible profit from this situation.

Genuinely sorry for your losses. It was not through becoming an AIM Rule 15 shell, but I still have a holding in a company where they sold the assets for a lot of cash and the directors just lined their pockets with it until it was mostly gone and then delisted it so the main villain could escape. It is probably still years away from final strike off, when I will be able to crystallise my losses to offset against CGT.

I use RDGC as 1 of 4 examples to illustrate why AIM rule 15 shells do not make sense from a risk reward balance perspective:

Ridgecrest, an AIM Rule 15 cash shell, is holding its Annual General Meeting (the "AGM") today at 2.30 p.m. at the offices of Allenby Capital Limited. At the AGM, Rob Thesiger, Chairman of the Company, will make the following statement.......


...... As at today, the Company has approximately GBP1.7 million of cash. Currently, the Company is in advanced discussions to invest a significant proportion of its cash resources in a business within the hospitality sector; and term sheets are being prepared. If this transaction proceeds the Board expects the hospitality business to seek a listing on the Access segment of the AQSE Growth Market in 2022 and it is currently intended that Ridgecrest's investment will be distributed to shareholders on a pro rata basis. Discussions are at a preliminary stage and there can be no guarantee that a transaction will proceed.

As it will not be possible for Ridgecrest to undertake and conclude a reverse takeover within 12 months of the Company becoming an AIM Cash Shell on 5 January 2021, admission of Ridgecrest's shares to trading on AIM is expected to be cancelled at the beginning of January 2022 (before any investment in the hospitality business can be concluded).

The board will continue to keep shareholders abreast of progress on the proposed transaction."
