(RFP) and related issues with RFP's joint venture partner, American Patriot Oil and Gas Inc. (APO).This global settlement agreement reflects the parties desire to fully and completely resolve all claims and defences in the federal court litigation and state court litigation.Under the terms of the settlement, which was executed on September 19, 2016, Nighthawk, RFP and APO were released from all past, current, and future claims related to all current, pending and potential future issues between the parties within the Arikaree Creek Field. The parties agreed to dismiss all current and pending federal and state litigation and administrative regulatory matters, between them related thereto.As part of the global settlement, no money was exchanged by the parties, however Nighthawk has assigned RFP a minor override royalty interest in one lease in Arikaree Creek, and APO has assigned Nighthawk certain leases just south of Arikaree Creek totalling approximately 640 acres with Nighthawk assigning APO a minor override royalty interest in those leases. Running Foxes has agreed to certain terms regarding any future water flood projects that Nighthawk might pursue in Arikaree Creek.Rick McCullough, Chairman of Nighthawk, commented: "I am pleased to announce a global settlement agreement that brings an end to ongoing issues and disputes between the parties. 13/9/2016 10:00 | I would not give any credence to Running Foxes re the comments on Nighthawk working practices. They need to look at their own working practices as they were the operator for us for many years and achieved very little in terms of production, after having expended many 10s of $millions of shareholders cash. The minute they were bought out and a new team installed results began to change, and we are pumping many times more oil from the same acreage that Running Foxes could barely extract anything from. They are obviously embarrassed that they sold for a price that now appears cheap given the oil now being produced but that was their judgement at the time, when they presumably thought that they could do nothing further with the acreage and that the price they got was fair. The almost complete failure of their recent legal action would, I imagine, only compound this embarrassment. If they paid more attention to actually doing what they are supposed to do and produce oil in substantial quantities they might gain a bit more credibility. | ranald | |

12/9/2016 15:48 | Posted on lse by Mr taggleworth Proactive investors release Nighthawk recently drilled five dry holes based on 3D seismic with Cascade. Even if the waterflood were to work in the Pilot area it is not certain at this time that any mineral, landowner and royalty interests will agree to expansion of that operation. Nighthawk and Running Foxes recently settled an issue that was caused by Nighthawk�s incompetence by overpaying royalties. Running Foxes clearly recognized the error. But instead of resolving it quickly. Nighthawk incurred 100�s of thousands in attorney�s fees to recover $19K+ (US). The ongoing litigation between Running Foxes and Nighthawk had a recent hearing in front of the presiding judge. Mr. Wilson of Nighthawk agreed to the judge�s request to sit down and discuss settlement with Running Foxes. Nighthawk�s version in their press release is not factual. Running Foxes does not expect any settlement and plans to vigorously pursue its claims at trial. The lawsuit filed by Nighthawk against Running Foxes and American Patriot is frivolous and represents �sour grapes� after failing to secure certain acres owned by a third party through a sealed bid process. In May, when Running Foxes attended an arbitration hearing at the request of Nighthawk, Nighthawk presented an outrageous claim for damages on land undrilled because they failed to make the winning bid. The mediator, a former state appeal court judge, told Nighthawk there was no valid claim as no damage could be proven but rather Nighthawk was attempting to regain an asset by threatening legal action based on being out maneuvered in business. In terms of the seismic, American Patriot, prior to its association with Running Foxes, used Nighthawk�s Arikaree Creek seismic presentation from their website and several other sources strictly related to Nighthawk�s continuing dissemination of information to find partners and sell itself, to lease lands. Running Foxes retained the right to use the seismic for its own purposes by prior agreement with Nighthawk. Running Foxes has been presenting the seismic to Nighthawk shareholders, potential partners, trade shows and other entities at Nighthawk�s request since at least 2010. Running Foxes has only presented digital images of its interpretation and no release of data. Nighthawk�s reprocessing of the data has led to several dry holes in the field. Nighthawk lost control of several leases due to poor management decisions. Running Foxes is pleased to announce that is drilling two additional development wells with a third party at the Livengood Field in Brown County, Kansas. The field has been producing since 1944 but was non-producing when the Company took over the field. The third party has an option for two additional wells depending upon the outcome of the first two wells. Another seven locations remain to be drilled. The two producing zones, Hunton and Viola carbonates, are at 2,800 and 3,400 feet | philmac56 |
