My Broker (iii) a while ago notified me of Corporate Action deadline that closes tonight (23:59 - 09 Dec 15) to make election for purchase of additional NCC (subscription) shares. As I was fully subscribed in my ISA, I finally decided to sell some other assets to make cash available with instructions to buy (subscription) shares to be kept within ISA wrapper. So if anyone else was thinking of taking up the offer, this is just a timely reminder that time is running out.

Glad I took up my allocation today in the placing.
Another interesting article featuring the company.
This one is from Master Investor. Definite worth a read of the whole article.

Meanwhile, NCC (LSE:NCC) (which stands for National Computing Centre) pinpoints and eradicates security flaws in applications using penetration testing, reverse engineering and code reviews, while providing assurance over security and vulnerabilities for all information held, software and applications used, as well as the web environments. It also works to plan for and manage the impact of a potential hack and a rapid response forensic team. With its talents in high demand among many high profile organisations, NCC Group is fast becoming a truly international business, with operations in four continents and associated benefits of scale. In particular, its Total Assurance offering, which provides organisations with peace of mind that their most important assets are protected and operating as they should be at all times, is considered to be unrivalled within the industry.

Of particular note for the future is the firm’s investment in .trust, a generic top level domain (gTLD) which aims to create a universal environment for end users to operate and navigate the internet with complete safety and security. The group established a new wholly owned subsidiary, Artemis Internet Inc. in San Francisco, to develop the critical infrastructure and know-how to deliver this project. While Domain Services is expected to generate revenues in the current financial year (to 31 May 2016), the division is still expected to report a modest loss this year as the Group continues to roll-out and invest in its new capabilities. However, it is expected that the division will make a positive contribution in the financial year to May 2017 as all the service lines start to contribute fully. The ultimate goal is to offer a unique and secure gated community for companies to offer improved security enabling their end users and customers to interact with them safely and securely over the Internet.

Growth in both revenue and profitability has been fairly consistent over the years, and the most recent trading update flagged organic revenue growth of 17%, an improvement on the 14% seen in the previous half. Management are confident that they remain on course “to sustain our double digit organic growth and strong cash generation” and expect to meet expectations for the current financial year. And with over 50% of the Group’s revenues now outside the UK – with the majority in North America – the firm’s ascent will not have gone unnoticed in the industry. We believe NCC will become a takeover target before long (if it isn’t already), although the strong performance in recent years now means the shares are trading on c.23x current year’s earnings forecasts.

On 27th November, NCC stood in an auto entry position (unofficially) at number 322 in FTSE ranking at 184.75p. Unfortunately, the share price fell into the 270's around the relevant date and, coupled perhaps with changes in other constituents, meant that it just failed on the critical day.
However, with the further share issue and capital raise it should be well into position as top contender when anything drops out (as rivaldo says) or failing any drop-outs, then at the next formal review unless it suffers a severe and unexpected relapse.

As a separate issue, to whom were the additional 32020091 shares issued between 30/10 and 1/12? I have seen no specific mention (but have not read the prospectus which could explain). Are they additional to the ~72M placings and offer package or (as I suspect) a pre-authorised part of it? I note that the number falls almost exactly at the limit of what I assume to be a conventional 10% authorisation band.

NCC are first on the reserve list, so almost there. Any corporate or other activity leading to an exclusion will presumably see NCC into the FTSE 250.

NCC did not make the FTSE 250 this time.

They are not showing in the 350 on Sharescope at the close. However I think it is no big issue, since my understanding is that (a) tracker funds don't have to wait until they are in the index before buying - they tend to accumulate over time, both ahead and after entry, and (b) if they are not in this quarter, it is highly likely that they will be in next.

mazarin - well done getting that iii response!

With regard to the index as EC points out there is no fixed MCap criterion - you can't have more than 350 in the index just because lots of MCaps have increased.

At the last reckoning on stockchallenge.co.uk/ based on Friday's close NCC was at 324 based on MCap 719.4 @ 284.75. There were 6 other candidates above the automatic entry point. There were 6 250 stocks below the automatic exit point so it is all finely balanced Since Friday the two immediately below NCC namely JMG and BRW have gone up so I would put the chances at 50:50

Mazarin,

Market cap = number of shares x market price. It's not rocket science; ADVFN is wrong (it probably predates the Accumuli purchase), Google Finance is right.

Entry to the FTSE-350 is not driven by absolute market capitalisation, but by market cap ranking. In order to reduce churn, existing components are only automatically rejected if their ranking falls lower than 375, and new components are only automatically added if their ranking rises to 325 or higher.

Thus, if NCC is in the top 325, it is automatically added, but if it ranks between 325 and 350, it will only be added if another component is ejected for falling out of the top 375, and NCC is the highest ranking non-member.

Regarding the 'Open Offer' my Broker iii has agreed to transfer my subscription shares if I wish to my General account and therefore confirmed they will allow me to subscribe outside my ISA as I've used up this year's ISA allowance.

Incidentally, I also hold ALD (Challenger Bank) that recently qualified for admission to FSE 250 in June 15. I believe that automatic admission is triggered when MCap exceeds £775m for a period ahead of review, so I reckon NCC still has another (c.£46m) to go. However, do quickly add, it's just a question of time. May be in time for next year's review in March....? ADVFN is at odds with Google Finance that currently quotes NCC's MCap at £731m

mazarin - many thanks for the update. I am sorry to hear that the whole process took so long when it should have been sorted in house in a short period, but pleased that the ombudsman ruled in your favour. It confirms my opinion of iii - excellent trading platform but diabolical back office. I had a "tell us what you think" survey the other day when I was able to reiterate those thoughts.

With regard to NCC the issue price is so close to the market price that, as you say, it would not be worth selling in order to take up. It would be different if there was a deep discount. I have had a letter from one of my brokers this morning asking for instructions and offering to take up outside the ISA if that is fully subscribed but I expect that such a routine offer is beyond the comprehension of iii.
