Amazing how anyone was selling but with market cap barely above cash from Amaze, plus about £1.3m more from Interel due July, and up to £9m more in Amaze earnout it's rather a fantastic free option of the success of the remaining businesses which by my reckoning are doing 6 or 7m turnover. Bit of a no-brainer....

Ah right, chears - think I was going by last year still.

I guess they have to count those masses of millions of pounds cash coming in :-)

Bouncing anyway - not many places you can buy potentially £3 of cash for £2 imo - and leaving a nice business after that too :-)

Also from Jan trading update ( - "The Group expects to publish its full year results for the year to 31 December 2012 in April 2013."

Still not long to wait though. Wonder when the General Meting will be to vote on disposal of Amaze? Can't imagine there'll be many objections :o)

What's an international software provider worth and how much is it benefitting from the weak £.?

More upside yet imo, much more.

And I think the deferred payments from St Ives are pretty much a foregone conclusion - just there to soften the upfront cost and make them earnings enhanching for St Ives initially imo.

For once I agree with you, CR.

Market cap here is just £18m with £15.3 coming in from Amaze proceeds. More interesting to me is the earnout of £9.7m. It's only based on achieving "certain profit targets in the year to 31 December 2013". It just strikes me that that earnout is reasonably likely, otherwise why bother to negotiate it? In which case £25m coming in vs mcap of £18 - and the other businesses in for free. A jolly good risk reward I'd say - tho clearly if no earn-out and other biz's struggle there seems little upside... Worth a hold for a year to see what happens IMO. Seems to me £1 share price would be a fairer reflection of what we know today.

Great day but that rise hasn't priced in what these are worth imo.

35p+ potential cash return from sale.
35p odd potential cash to come in deferred payments.

The rest of the business valued at pretty much nothing on that basis, no debt.

I bet they could take the two existing businesses and turn each one into an another Amaze typew performer within 18 months to 2 years, potetially two more £20m co's there just a little down the line valued at near nowt imo.

From the interims:

"Interact
Interact is a leading supplier of intelligent intranet software and is one of the fastest growing intranet software companies. Organisations using Interact Intranet report improved efficiency, greater productivity, increased employee engagement, better decision-making and cost savings.
Interact delivered a gross profit of GBP1.5m and recorded its highest ever figure for new business sales of its flagship software, Interact Intranet, including three intranet sales each in excess of GBP100,000. The average sales value for an intranet continues to increase and support revenues should now exceed GBP0.8m on an annualised basis.
During the period, Interact added Age UK, Flight Centre, Lease Plan and Signet Trading to its client list.
Following the recruitment of two experienced sales staff in the US in mid-February, four intranets have been sold in the US in the second quarter and the pipeline is developing ahead of expectations. The Chase

HGV could pay shareholders 35p a share with that cash or more.

They then have the Chase and Interact rapidly growing and about to become highly profitable imo.

There's also up to £9m in defered payments to come - about 37p a share.

They still have deferred payments to come from the last sale of Interel in July 2011 for 9.5m Euros which virtually wiped out net debt.

80p a share is miles too cheap imo.

Paul Sanders has transformed this co imo.

2.5p divi forecast before any disposal too.
