Transaction in Own Shares & Total Voting Rights

Gatekeeper Systems, Inc. announces that on 28 February 2008 the Company made on
market purchases of 4,275,000 ordinary shares of USD 0.001 each ("Ordinary
Shares") at a price of 12 pence per Ordinary Share and 123,500 Ordinary Shares
at a price of 10 pence per Ordinary Share.  All 4,398,500 Ordinary Shares will
be held as Treasury Stock.

Following these transactions, the total number of Ordinary Shares in issue will
be 43,396,193.  There will be 4,398,500 Ordinary Shares held in treasury, and
therefore the total number of Ordinary Shares with voting rights in the Company
will be 38,997,693.

The above figure of 38,997,693 Ordinary Shares may be used by shareholders in
the Company as the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change in their interest
in, the share capital of the Company under the FSA's Disclosure and Transparency
Rules.
