Your most likely right topvest. But I am just curious as to what they would do if they don't get the 75%. The provision about an offer has me intrigued a little. My feeling is, if they can get it through on the scheme, they will clearly be happier. But if the scheme fails, they may decide to increase the cash offer a little, in order to push it through....

Whatever their game plan is, it clearly involves being in private hands for it...;-)

Well I have decided to vote against it and will do so through Capita online.
But I have more then a sneaky feeling that they will have enough judging by the recent plethora of rns releases of late. They all look board friendly to me....

Yes, alanadale is very much about. This offer may be strictly legal (indeed they have marshalled the finest City minds to structure the syndicated loan that Fortune Dynasty has raised to finance the buyout, well worth looking at) but it is sharp practice.

I am consulting with a guy on Monday who specialises in representing minority shareholder interests in such situations. I will also be getting back to Attwood to clarify certain situations. I’m at a loss to understand how an ‘independent’ financial adviser could recommend this offer other than on the basis that the Concert Party have us all over a barrel and can offer what they like and we should be grateful for anything they offer.

So, can I take it with the lack of posting on here recently that we have had many sell up into the market?
Is alandale still about?
I was thinking that if by some miracle, this got voted down, would FTO then go for the straight offer instead of the scheme route. And if they did go for the offer (Which is catered for in this document) would they increase the cash a bit?
Any thoughts?

Seems as clear as mud to me. Typical of Chinese companies from what I've experienced. You never get anything in simple form, always lots of complexity and related parties. 10p is good. Another 5p is possible. Take the cash and steer clear of investing in Chinese companies is the lesson I have learnt unless you are going through an investment trust that has better knowledge. Let's face it, you only ever seem to realise a fraction of true value. This is better than some, but the controlling parties are still having us over to a degree.

That's my hope too Del. After all the Chiu's and Li would personally get a large cash injection should this happen, whilst still remaining in control of CGH.

Long shot, but i wouldn't write the possibility off just yet.

There is ONE small bit of hope I see in all of this.....and that is under the trigger point...
a) the Fortune Oil Group and China Gas Group shall, during the CVR Term, have completed Sales to a CVR Third Party solely for cash (or, if a Sale includes any non-cash consideration, where the cash consideration is an amount in excess of HK$11 per share), an aggregate number of Relevant China Gas Holdings Shares exceeding 199,385,362 China Gas Holdings Shares (representing in excess of 35 per cent. of all of the Fortune Oil Group’s direct and indirect
(b) the volume-weighted average per share price of all Sales solely for cash (or, if a Sale includes any non-cash consideration, taking into account only the cash component) of Relevant China Gas Group Holdings Shares during the CVR Term up to and including the point that paragraph.

A CVR third party could be Vitol!!!

I agree, page 15 is as clear, I see zero chance of any more than 10p.

I see that someone has just purchased 1.1 Million @ 9.69 , a beter rate than the bank given 10p is offered in a couple of months.

Given my tenure as a holder I will make efforts to make the meeting in London.

I suppose we can hope for another interested party, me I think this is a done deal. I will resign myself to making a small gain on FTO (over the years) without the riches I expected. Not long to the end game now.

That is just the rns release. The actually document is perhaps worth reading as it will explain more precisely how the cvrs will work and the rules exactly under which they will be exercised...I am registered with Capita ans hope to get a copy soon......But not thinking anything massive has changed....
