PDMR Dealing, Exercise of Options and Total Voting Rights

dotdigital Group Plc (AIM:DOTD), the leading provider of intuitive Software as a Service and managed services to digital marketing professionals, announces that that it has today issued 525,000 ordinary shares of 0.5p each ("Ordinary Shares") following an exercise of options by certain employees.

The exercise of options on 27 February 2017 included the exercise by David Aldrich, HR Director, who is considered to be a person discharging managerial responsibilities ("PDMR"), of options over 500,000 Ordinary Shares.

Application has been made to the London Stock Exchange for the 525,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 3 March 2017.

Following this allotment, the Company's issued share capital consists of 296,098,485 Ordinary Shares of which a total of 660,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares with voting rights in the Company is 295,438,485.

The above figure of 295,438,485 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
