19/12/2016 08:27 | Lack of RNS on Bond Holders Meeting Well I put my hands up and say that I was wrong in that there was no RNS before the Market opened. Why? Well at the end of this post I will give my interpretation on lack of an update. First this is the post I was expecting to post and I am only posting it now because I have personal business to do today and will not be able to post this on my Iphone. As predicted there was no Quorum at last Fridays Bond Holders Meeting in London. This is actually good for our company. Only xx% of Bondholders were present at the meeting and we know that Eufingest are holders of Euro 3 Million of the Bonds. In effect xx% of Bond Holders could not be bothered to attend the meeting. The chances of more Bond Holders attending on the 30 December 2016 are zero. So the Resolution will be passed. Interest on our Euro 6.9 Million Bonds will be reduced from 7% to 1% and our company will save £335K in interest each year for the next two years. As the Professor said on 28 November 2016 “Eufingest continues to be a supportive strategic shareholder and lender to the Group” What does ‘StrategicR Relating to the identification of long-term or overall aims and interests and the means of achieving them. Or ‘Important or essential in relation to a plan of action’ Eufingest would not give up 6% interest on their Bonds (which is a reduction of Euro 180K a year) unless it was in relation to a plan of action. One final point which I believe is significant. In December 2015 when there were Euro 9.9 Million Bonds outstanding to form a Quorum there had to be 66% of the voting Bondholders. But in December 2016 when we now only have Euro 6.9 Million Bonds outstanding to form a Quorum there has to be 75% of the voting Bondholders. You have to ask yourself: why increase from 66% to 75% as this would make it more difficult to pass? And then you realise that just to be safe it is better to have a second meeting when as we know Eufingest have 43.48% of the outstanding Bonds so we would need 43.49% to vote the resolution down and that as I have said will not happen. My take on lack of an RNS? I believe that there will be a more substantial update from Clear Leisure along with the update on the Bond Holders Meeting. RKB | rkbeekeeper |
