30/11/2016 06:35 | Jagatia Nilesh Coincidence and Lynchwood Nominees Ltd Jagatia Nilesh is a Director and Company Secretary for an AIM company called Limitless Earth (LME) From Companies House I have discovered: Out of the blue on 12th July 2016 one of our major shareholders just appeared out of nowhere (sound familiar?) and they pop-up with a shareholding of 85.1% and 55,623,919 shares in Limitless Earth. Then they disappear on 10th November 2016 on LME Website and again just like Clear Leisure no RNS was issued to say their shareholding has reduced from 85.1% to less than 3%. Who is this shareholder? Lynchwood Nominees Ltd Who is Limitless Earth’s Broker? Well we share the same Broker, Peterhouse Corporate Finance. Now this could all just be a coincidence. Or it could be that LSE are not applying Rules to AIM! My view is that the Grave Digger has ‘parked’ some of his shareholding with Lynchwood Nominees Ltd and that he is really the one who is funding Eufingest and that he is Eufingest. 28/11/2016 17:56 | This is what an RNS should say CLP are sorry that we have not updated the market when there have been percentage thresholds crossed. 1 Hargreaves Lansdown Nominees has increased from 5.33% to 9% 2 TD Direct Investing Nominees (Europe) has increased from 5.69% to 8.17% 3 Lynchwood Nominees Ltd has a shareholding of 5.83% (bought from the Grave Digger) 4 Winterflood Securities Ltd has decreased from 4.18% to 3.12% 5 HSDL Nominees Ltd has a shareholding of 3.32% 6 The Grave Digger has buried his shareholding The percentage increase will be slightly more than what I have indicated due to the placing and when they have actually informed Clear Leisure. As you can see we have not been provided with information that may or may not influence our decision to buy, hold or sell our shares. 28/11/2016 16:14 | Just some share values so we all are aware of how much Alfredo Villa has on paper lost over the past 5 or 6 years. Using year end share price values taken from annual reports and his disclosed shareholding and the share consolidation of 250:1 2010 £3,831,029 2011 £1,351,010 2012 £1,413,952 2013 £600,930 2014 £277,135 2015 £248,856 So if he still has his shares and I believe he does as there are 'special rules' for Swiss Investors about not having to disclose their position (but illegal not to inform LSE of disposal if they have been disposed of, then Mr Villa is down on paper by over £3 million. 28/11/2016 14:42 | I Have emailed Investor Relations regarding Alfredo Villa not being listed as a major shareholder. I am very pleased that you have managed to have Clear Leisure display an up-to-date list of our major shareholders. I am concerned that Alfredo Villa is not listed as a major shareholder as it was my understanding that he held 28,279,039 shares as at the 30th June 2016 and there has been no issue of an RNS to advice the Market that he has disposed of his shareholding. It could be an oversight with the update of the Web-site or it could be a breach of LSE rules. 28/11/2016 12:53 | If there was going to be a reverse takeover then I would bet a £ on it being done through Pay My Time Ltd This is the Company that was set-up by Alfredo Villa on 22nd Feb 2016 with USA $ 30 million fully paid-up. Most shares are held by a Cristina Uccelli who stays with / or shares the same private address in Lugano with Alfredo Villa. (just 27.7KM from Eufingest) whom I believe are joined at the hip with each other. Why would he need to actually have fully paid up all the shares if he did not need to? Most of the time when he sets-up a Private Company he only pays a small amount nothing like $30 million. This leads me to conclude that it is a means to facilitate a takeover of something and it could be Clear Leisure. | rkbeekeeper | |
