Yet another sting in the tail. Still working their way through the forst 2m. Who would have thought it?
"UK Oil & Gas PLC (London AIM: UKOG) is pleased to announce that to enable further orderly reduction of the balance of the funding facility announced on 28 June 2023 ("Loan"), it has delivered to RiverFort Global Opportunities PCC Limited and YA II PN Ltd ("Investors") a tranche of 200,000,000 ordinary shares ("Equity Shares"). Future conversion of these Equity Shares by the Investors will further reduce the current £0.545 million principal balance of the £2 million gross first cash sum received.



It is expected that the Investors will convert these Equity Shares at the Variable Price, being equivalent to 100% of the Company's lowest daily volume weighted average price ("VWAP") in the fifteen trading days preceding the conversion date, or the date the Equity Shares are applied to discharge the Loan.



The reduction in the Loan's principal balance from that stated in the Company's 13th March 2024 RNS results from the conversion of the prior tranche of 206,965,282 ordinary shares by the Investors at an average price of approximately 0.054 pence per share."

Also, how do you know where the bottom is? I'm sure people who bought at 0.060, 0.050, 0.040 thought it was going to be there. Yet it isn't. Usually with a death spiral it goes on until the share price reached the nominal value of the stock, which in this case is 0.010, before they have to consolidate and essentially wipe out shareholders because they cant issue anymore stock below that level.

It's a psychological thing, you don't want to own up to your mistake. I've been there myself. Rather than take the hit quickly you think things will turn around only to see the share price fall further. At that point you get "locked-in" as you can't bear to sell at a bigger loss.

You think the answer is to averaging down. As I've pointed out you dont know where the bottom is and it's not guaranteed the share price will recover at all. The problem with that is you could be throwing good money after bad.

Sometimes you just have to bite the bullet. It hurts short term but better than incurring larger losses and enduring much more misery.

He has like all others of this type found a hole in the system. He ramps up a company prospect to unjustified height. He pretends he can unlock an amazing hidden value. It turns out to be psychopathic nonsense. He goes with wages and options and then tries same thing somewhere else, even new jurisdiction. He will swear blind that the prospect 'still' has potential. This gives him time to escape. He only recently added caveat on twitter -'all opinions my own'
He is being investigated at Oct (Octagonal) but the list of his other crazy ramps that lost shareholders millions contains likes of Doriemus (DOR) moved to Asx, Stellar Resources (changed name to Primorus), Artemis Resources (Asx), Solo Oil, Lenigas Gas and Oil,Rare Earth Minerals (changed name), Gunsynd (moved to Asx), InSpirit etc etc
The modus operandi shows the same behaviour at the start. He has found a miracle deposit that can be developed straight forward. He and his team destroy and identify anybody questioning his 'facts'.
The share price is ramped to impossible height and beyond. He gives signal on twitter such like 'still has more to go'. From here share price always collapses. He gets out and can sell shares/options without declaring them. There is a suspicion that the signal given on twitter allows friends or even organised crime to set short options.
As said before at this time he will swear blind that prospect still has his belief potential to give himself time to get out and disappear.
At Oct (Octagonal) he was involved with Roger Barby of Panama Papers who organised a theft against shareholders
At Inspirit involved with John Gunn (director and co-conspirator with Barby at Oct)
Conclusion
Recommended to shut down all tax avoidance havens and ban domiciled in such places directorships or shareholder status and to place a tax burden on them equal to that avoided plus fines, plus interest applied to whoever now holds their assets if transferred PLUS a fair payback of the crooked austerity taxes that were levied on tax payers and non property owners but used to rescue the property asset values of tax avoiders equivalent to 50% of their property asset holdings. And further for them to truthfully divulge their contacts and nature of discussions and any crazy societal plans they may have concocted with other psychopathic tax avoiders like zero Trump etc
Stellar Resources was doing job for the crown Estate tax avoiders and using tax paying shareholders to do a free recce for them. Of course it was pie in sky BUT he got Alba to keep pretending ( see GF interview) while he escapes AGAIN

UKOG chief executive commits to invest £12,000 in company over a year

UK Oil & Gas chief executive Stephen Sanderson bought 985,221 shares in the company this month, at a price of 0.1015p per share, the company has confirmed.

The purchase, which cost £1,000, was Mr Sanderson’s first share investment in UKOG.

A company statement said the purchase was part of UKOG’s Defined Directors Share Programme, announced earlier this year.

It said Mr Sanderson had committed to buy approximately 7% of his net monthly salary in ordinary shares each month for 12 months. The final purchase is expected in November 2022, UKOG said.

UKOG’s annual accounts for the year ending September 2020 reported that Mr Sanderson’s gross annual salary was £297,000.

The company also announced new options over a total of £15million ordinary shares had been granted to the new chief financial officer, Matthew Gormley. The options were granted at an exercise price of 0.10p per share and are worth £15,000. They expire after five years.

Following the issue, UKOG has 291m share options outstanding with employees and directors, representing about 1.8% of existing ordinary share capital.

Shares in UKOG closed up 1.27% on Friday at 0.10p.


I know it is old news. One thing that strike me was about his annual salary £300000/year.

NO wonder he needs more fund to pay his salary. Bloody ell!!!!

Nope I think we all want a share price rise but that would have to be to pre investment levels and that's what we're all complaining about since there doesn't seem to be any future in Turkey or the Weald or enough oil to ever move this up rather down to delisting which without changing Nomads and taking really bad finance deals from YA and RF would already have happened. Not only that but if they did a share issue to pi's I doubt it would generate any financing hence why RF and YA were last saloon type lenders before the inevitable of which YA and RF have a habit of finding and more so recently looking at their investors who complain similar to us that it's fortunes and future are looking very bleak, RF barely derived enough profit last year and share price is going only one way too.

All this seems to be far too apparent when rampers like you start calling everyone activists and offer nothing but hate, I mean that's all you got left those ramps on HH being a gusher and lovely let alone Turkey seem all but done for now we've been patient like you asked!

But hey ho I believe there's this visible gold from Clogau you said was there were all dying to see instead of thinking that was mere lies to trick investors in to long term disastrous holds.

UK Oil & Gas PLC (London AIM: UKOG) is pleased to announce that it has successfully raised gross proceeds of £0.75 million by means of a placing (the "Placing") of new Ordinary Shares (the "Placing Shares") at a price of 0.02 pence per share (the "Placing Price").

The Placing Price represents a discount of 20 per cent to the Closing Price of 0.0250 pence per Ordinary Share on 11 January 2024, being the latest practicable business day prior to the publication of this Announcement.

The Placing is primarily in response to the government's newly announced acceleration of the first hydrogen storage allocation round, now scheduled to commence in Q3 2024 vs the prior Q3/Q4 2025 timeline. As the Company intends to submit a bid for an allocation award for its material hydrogen storage project in Portland, Dorset, the round's timetable now necessitates an acceleration of specific unbudgeted studies/works during 2024. The Company is also in discussion with a significant international trading house with regard to its participation in the Company's hydrogen storage project. The Placing's proceeds will also provide the Company with a further source of general working capital to progress its existing UK/Turkey projects.

Placing Summary



· The Placing raised £750,000 (before expenses) through the issue of 3,750,000,000 Placing Shares at the Placing Price.

· The Placing Shares represent 13 per cent. of the Enlarged Issued Share Capital.

· The net proceeds of the Placing will be used as described above.

· Participants in the Placing have subscribed on the basis of the customary terms and conditions of the Placing.

The Placing



The Company will issue 3,750,000,000 Placing Shares, to raise gross proceeds of £750,000 to participants in the Placing. The Placing Shares will be admitted ("Admission") to trading on the AIM market ("AIM") of London Stock Exchange plc ("LSE") on or around 18 January 2024. CMC Markets UK plc ("CMC") acted as sole bookrunner in connection with the Placing.
