Warpaint’s Brand Architekts acquisition to supercharge earnings growth - analyst

Warpaint London PLC (AIM:W7L) has received an optimistic outlook from RBC Capital Markets following its acquisition of Brand Architekts plc for £13.9 million.
The transaction, set to close by February 2025, is expected to diversify Warpaint's product portfolio and enhance cross-selling opportunities, strengthening its long-term growth potential.
“Brand Architecks has a complementary portfolio of challenger brands,” said RBC analysts.
The company “appears to be a good fit” for Warpaint, they added, “having a portfolio of solution-led brands in the personal care sector, outside of mass colour cosmetics”.
RBC revised its Warpaint forecasts following news of the acquisition, projecting a 10% average annual revenue growth from 2026 onwards.
Earnings are anticipated to become accretive in 2025, with adjusted EBITDA forecasts increasing by 4-6% annually between 2025 and 2028.
Post-acquisition, Warpaint’s 2025 adjusted EBITDA is projected to rise to £31.3 million from the previously estimated £29.9 million.
RBC raised Warpaint’s price target to 700p with an outperform rating from 685p previously because of the acquisition.
Warpaint shares were swapping for 524p at the time of writing.

Brand Architekts purchase looks a good deal. It comes with about £6 million of clean cash, stock, a list of brands with probably different outlets, many abroad which will allow W7L to enter fresh markets with its other products. It will take on a historic pension liability but this will eventually disappear. W7L has a high PE but BAR will soon deliver

I received £1400 of a £10k subscription so 14% sold at c532 the other day... although I had to buy back the rest sold at c532 for c522 but still a profit 🫨

For example if 1000 shares owned and 1000 shares applied for then:-

1000 shares (owned) x 0.03783 + 1000 shares (applied for) x c0.07
= 37.83 + c70 shares
= c108 shares acquired via the retail placing.

Edit: Soft Pre-emptive allowance Calculation: shareholder existing shares X 3.783% (Dilution from total new shares being issued pursuant to the Placing and Retail Offer) = Soft Pre-emptive allowance allocation shares. Additional Demand: (Total Order shares - Soft Pre-emptive allowance allocation shares) x 7.09751% = Additional demand allocation shares

If 1000 shares owned, soft pre-emptive allowance allocation = c38 shares

If 1000 shares applied for, total Order shares - Soft Pre-emptive allowance allocation shares =
1000- c38 = c1062 shares

1062 x 0.0709751 = c75.4 so total shares acquired via the retail placing = c38 + c75.4 = c113shares

Sold at 531 ish so as long as I buy back below this level to cover beyond fees it's a return....if not 🫨

10k shares might give me £100 of actual offer shares if its massively oversubscribed so it's a big buy back under 531 for me.
