By "contents", is he referring to the final draft prospectus? Or is he saying the eligibility committee have approved it? If the latter, what final details are being worked on? Listing application or EGM details? The approval procedure is necessary reading (link courtesy of wrtmf): As this is an RTO not an IPO there's no need for a marketing stage, afaik, but Fig 1 pg 3 makes it clear that a separate listing application process follows approval of the prospectus: "We conduct our eligibility reviews at the same time as reviewing the prospectus or other document, completing them when the document is approved, if applicable. Both document review and eligibility review processes occur ahead of marketing the securities that are the subject of the transaction. Once marketing is complete, the securities are subject to a formal listing application process and after that the transaction can be completed (assuming that all the relevant conditions are met) and the securities admitted to the Official List." Circulating the prospectus and convening an EGM are in PJ's control so my guess is that he, the BoD and advisers are working on that listing application. With two weeks notice required for an EGM it's looking like August at the earliest for completion, again down to the FCA. Can't be helped. It will have been a long year - or 17 months if you go back to the creation of UK SPAC plc. I never anticipated such a wait nor all the stuff that's happened in the meantime. We don't even know if the founding investors pulled their initial stake out and relied on the warrants for a return. Did they covert them? I can't imagine they're too happy at the delays though. It's unusual for a Chairman/CEO to ask an advfn poster to air a response in which he gives an informal sitrep and outlook. Given the possible interpretations of his above wording and the further delay since his last Investigate announcement perhaps he'd be kind enough to issue a more formal statement as to where we currently stand. If the FCA has indeed approved the prospectus that would at least give us and the markets something positive to chat about. | masergt | |

I resent anyone casting doubt on the intentions of the directors of UK SPAC or Hellenic and I can assure you that this transaction is as far from being a “con” as you can get. It is complex, has taken up most of my working time for the last two years and has (with thanks to the FCA) taken far longer to complete that we had anticipated. I can assure you that, as a former partner (and later senior partner) in a leading West End law firm and then partner in one of the leading national law firms I have never been and would never be involved in any scheme intended enrich the directors at the expense of shareholders. The intention of the transaction has always been to return greater value to the shareholders of the former Mountfield Group than they would have received&n Directors' fees have been modest and the reward for us will in the form of options so we will only gain if the shareholders do so as well.The allegations are fanciful and clearly defamatory and made by someone with too little knowledge and too much imagination.
