Big up-leg coming I suspect. Assuming successfully completed acquisition and placing should give market confidence in the company at last. After that I think we'll see an initial move, and as newsflow continues post results for the rest of 2019 and up to the 2020 results, TLY will be one to have in the portfolio for sure! Shrewd investors getting in now ahead of the rush.... ;)

Buyers drought b3gins soon. Next leg down. 6p to 60p for no reason on the cards still r3mains. I've been slapped down for that prediction since 25p. Now a disgraceful 10p. Defo no share buy back on the cards anymore.

The Acquisition provides Totally with a strong and commercially attractive opportunity to continue to execute its buy and build strategy, with the aim of building the Company into a leading out-of-hospital healthcare provider, providing more comprehensive services across the country, helping to address the significant healthcare challenges faced by the UK.

· The Acquisition allows the Group to obtain a further foothold in the urgent care sector in the UK with Greenbrook Healthcare being a leading provider of UCCs in the Greater London area.

· The Board believes the services offered by Greenbrook Healthcare are highly complementary to and offer synergies with the Group’s wholly-owned subsidiary Vocare Limited (“Vocare”), one of the UK’s leading national specialist providers of urgent care services.

· The total consideration for the Acquisition is £11.5 million on a cash free and debt free basis, with a normalised level of working capital.

· The Consideration will be satisfied by the payment of £9.0 million in cash on Completion and as to the remaining £2.5 million by the issue of the Consideration Shares on Completion. The cash consideration payable on Completion will be satisfied using the net proceeds raised pursuant to the Placing and the Open Offer and existing cash resources of the Company.

· Greenbrook Healthcare has experienced substantial revenue growth in recent years with revenue growing from £23.8 million in the financial year ended 31 March 2016 to £33.4 million in the year ended 31 March 2018 (equivalent to 40.1 per cent. growth over the two financial years).

· With effect from Admission, Michael Steel, the Chief Executive Officer of Greenbrook Healthcare, will join the Board as Executive Director.

On byot no-one was begging me to give a view on acquisition price and as I couldn't see anything particularly noteworthy about it, I didn't think it necessary to comment. As I did comment though, the placing price in relation to the then-recent share price looked quite good.

My approach to byot is the same as it was to tly at the beginning I think. High risk, but seems like a decent prospect with a good management team.

So far byot hasn't given me cause to change my view.

I've followed Totally for years but only got round to investing in it fairly recently because I felt it was a bit fragile as a business and there wasn't enough liquidity in the shares if I changed my mind and wanted to get out. But that changed markedly with the change to an aggressive buy and build strategy with a successful placing and the Vocare acquisition. When I saw the shares in the low 30's late last year I thought it was a good entry point - well below the placing price so I felt I was being offered the chance to get on board at below the ground floor. I bought some more in March after a further price fall and then again this week after the buyback announcement.

I feel this is high risk because it relies on being able to create value from a business that someone else is happy to sell, but it appears to be well-backed and to have a decent management team and board. So at this sort of discount to the placing price, given I presume some serious due diligence was done by those taking the placing shares, I am happy to invest.
