Consideration Shares are issued to the sellers of Greenbrook without vesting criteria. LTIP shares, or rather LTIP options are nil-cost options which vest over time and only if the share-price hurdles are met. For the acquisition we have consideration of: £9.0m cash £2.5m shares (25m shares) £4.5m to reflect excess cash in Greenbrook (normalising the wc) £16m total To incentivise and retain key management we have 10.5m nil-cost options with shareprice hurdle rates. | 1gw | |
