Question is how much would you pay for a growing profitable company(£1.4m pre-tax on £33.4m revenue), operating in the lucrative London & SE area... a company which expands TLY's existing offering at a time when the NHS is rolling out the new IUC contracts????

Correct, Graham, 11.5 million is the key number, of which 2.5 million is in consideration shares.

So actually 9 million is arguably the important number here.

Of the 9 million, nearly 8.7 million comes from the institutional bookbuild, and the 1 million placing.(asuming it is successful)

I was quoting from the official document, not from anyone on this board.

microscope - Consideration Shares and LTIP shares are 2 separate things. Consideration Shares are issued to the sellers of Greenbrook without vesting criteria. LTIP shares, or rather LTIP options are nil-cost options which vest over time and only if the share-price hurdles are met.

For the acquisition we have consideration of:
£9.0m cash
£2.5m shares (25m shares)
£4.5m to reflect excess cash in Greenbrook (normalising the wc)

£16m total

To incentivise and retain key management we have 10.5m nil-cost options with shareprice hurdle rates.

To add one other piece of clarity to yesterday's 'discussion'

"The Consideration will be satisfied by the payment of GBP9.0 million in cash on Completion and as to the remaining GBP2.5 million by the issue of the Consideration Shares on Completion"

So the 'Consideration Shares' accounts for 2.5 million of the acquisition... Thought I'd read that somewhere! :)

Just for the record, I made a lot of money trading the share on the way up to 80p. So taking those profits into account my average buy price is not that high. I am touched with your concern about me but you really don't need to worry. I am a more successful investor than you could ever contemplate; I retired very early as a result!
