Chaps and any chapesses... Behave. IF ( I can't be certain but will check over weekend) it's the Greenbrook I am looking at, then it looks a peach to me. Turnover 32 million plus, profit after tax just over one million, net assets over 2 million (lovely cash pile in there).It won't come cheap but it's exactly what we needed imho. Of course dilution will come with it. But for the future of my investment here I love it, if it is the same company (I'm confident it is, but as I say, will check).So before jumping to conclusions, as some of you appear to have done somewhat hastily imho........D.Y.O.R.

It's a placing to help buy another company.. we get another company in return...
The strategy has been known about for years and I,for one, have been expecting it for sometime...

It's what plcs do...


It's not like TLY are using shareholder funds to help an ex-CEO because IIs don't want to take part in the placing..;-)



The important missing metric is the price they are paying for Greenbrook..

Presumably they would sort out consolidation and/or change of par value (if required) at the same time as they seek shareholder approval for the reverse takeover?

Agree... Vocare was also a reverse takeover, so nothing new here.. There was a GM & Admission Doc. The link to it is in the header..

Should find out soon how much they are paying up front and how mush will be deferred performance related payments..

Need to read up about Greenbrook..

Class tests. It looks like the profit class test will be what makes it a reverse takeover since it is before extraordinary items.

You are such a glass half empty person! You do not yet know the result of this acquisition. They are buying a profitable company and yes it depends on the price the company will pay and the placing price but there could well be a positive scenario here which results in a rerating!

Coldspring - I sold most of them, but kept some in case I was wrong and they re-rated when tly reached the promised land. The promised land looks a long way off today for existing shareholders.

But surely there would be a GM to approve the new shares before an admission document is published assuming it is relatively a big acquisition.

The fact that a reverse takeover is required shows the ridiculousness of the TLY valuation. The turnover of greenbrook is way lower than TLY....although they are profitable (£1 million last year). So assuming this acquisition makes TLY sustainably profitable, a rerate must surely be on the cards.
