17/5/2019 18:59 | This should help with research... CQC ratings all good. Companies House | sikhthetech
17/5/2019 18:51 | Chaps and any chapesses... Behave. IF ( I can't be certain but will check over weekend) it's the Greenbrook I am looking at, then it looks a peach to me. Turnover 32 million plus, profit after tax just over one million, net assets over 2 million (lovely cash pile in there). It won't come cheap but it's exactly what we needed imho. Of course dilution will come with it. But for the future of my investment here I love it, if it is the same company (I'm confident it is, but as I say, will check). So before jumping to conclusions, as some of you appear to have done somewhat hastily imho........D.Y.O.R. | microscope
17/5/2019 18:46 | It's a placing to help buy another company.. we get another company in return... The strategy has been known about for years and I,for one, have been expecting it for sometime... It's what plcs do... It's not like TLY are using shareholder funds to help an ex-CEO because IIs don't want to take part in the placing..;-) The important missing metric is the price they are paying for Greenbrook.. | sikhthetech
17/5/2019 18:38 | Seriously? | 1gw
17/5/2019 18:33 | >> 1gw Cup half empty as usual. My bet is a 10p fund raising. | nobbygnome
17/5/2019 18:26 | Mister MD, "so Friday late RNS to avoid dumping of stock before the placing ?" Um, the shares were suspended prior.. It makes no difference what day it was!!!.. | sikhthetech
17/5/2019 18:21 | Presumably they would sort out consolidation and/or change of par value (if required) at the same time as they seek shareholder approval for the reverse takeover? | 1gw
17/5/2019 18:19 | >> buywell So you too are badly informed! The TLY shares are 10p shares so they can't do a fund raising at 9p with the current share structure. An admission you were wrong would be appropriate.... | nobbygnome
17/5/2019 18:18 | It was suspended during trading at about 1610hours roughly an hour before the RTO was confirmed. | coldspring
17/5/2019 18:02 | so Friday late RNS to avoid dumping of stock before the placing ? | mister md
17/5/2019 17:56 | Of course.... | deltrotter
17/5/2019 17:56 | So my 6p to 60p prediction is well in tact. Watch and see it unfold..... | spacedust
17/5/2019 17:43 | absolutely.. The BoD would not have entered into this without knowing for sure that they could raise the upfront cash needed.. deltrotter17 May '19 - 17:38 - 8732 of 8734 Moderate | Ban 0 2 0 The institutions will have been tapped already.... | sikhthetech
17/5/2019 17:42 | Yes, but they need to fund it by issuing shares. What price do you think they can get those shares away at? | 1gw
17/5/2019 17:40 | Nobby, "although they are profitable (£1 million last year). So assuming this acquisition makes TLY sustainably profitable, a rerate must surely be on the cards." Agree... Vocare was also a reverse takeover, so nothing new here.. There was a GM & Admission Doc. The link to it is in the header.. Should find out soon how much they are paying up front and how mush will be deferred performance related payments.. Need to read up about Greenbrook.. | sikhthetech
17/5/2019 17:38 | Class tests. It looks like the profit class test will be what makes it a reverse takeover since it is before extraordinary items. "The “Profits of the AIM company” means profits before taxation and extraordinary items as stated in the following:... " | 1gw
17/5/2019 17:38 | The institutions will have been tapped already.... | deltrotter
17/5/2019 17:38 | Wonder if this was why the Vocare Brothers sold | buywell3
17/5/2019 17:36 | >> 1gw You are such a glass half empty person! You do not yet know the result of this acquisition. They are buying a profitable company and yes it depends on the price the company will pay and the placing price but there could well be a positive scenario here which results in a rerating! | nobbygnome
17/5/2019 17:34 | 1Gw ...... Re institutions ..... Our Bobs got a few Links on that front ...... | porky8
17/5/2019 17:33 | Coldspring - I sold most of them, but kept some in case I was wrong and they re-rated when tly reached the promised land. The promised land looks a long way off today for existing shareholders. | 1gw
17/5/2019 17:31 | "A reverse takeover is any acquisition or acquisitions in a twelve month period which for an AIM company would: ♦ exceed 100% in any of the class tests; or ♦ result in a fundamental change in its business, board or voting control; or ♦ in the case of an investing company, depart materially from its investing policy (as stated in its admission document or approved by shareholders in accordance with these rules)." You can see what the class tests are in the same document. | 1gw
17/5/2019 17:29 | Nobby, I expect they will announce the GM Monday/Tues.. It's a reverse takeover... Nobbygnome17 May '19 - 17:02 - 8710 of 8722(premium) 0 0 0 But surely there would be a GM to approve the new shares before an admission document is published assuming it is relatively a big acquisition. | sikhthetech
17/5/2019 17:29 | The fact that a reverse takeover is required shows the ridiculousness of the TLY valuation. The turnover of greenbrook is way lower than TLY....although they are profitable (£1 million last year). So assuming this acquisition makes TLY sustainably profitable, a rerate must surely be on the cards. | nobbygnome |
