By voting to remove Sisto as a Director at TERN we delivered to him a serious public humiliation. Personally, I would invest in seeking his removal as CEO. The increasingly regular dilutions serve to render that possibility more unlikely. Sisto is well aware this. |

Don't hold your breath on the new directors they have simply replaced like for like when they got rid of Payne and Howarth, people still think this is a normal situation and normal management, people need to start to look after their own investment no one else is going to do it. I presume that no PR can be issued without Director approval, so TM's hands are tied. That is why I have requested contact details for the 2 new(ish) non exec's. They have been in situ long enough to see the huge gap in progress at investee level and the dire share price performance, mainly due to the lack of boards engagement with any sort of ongoing PR. Wonder what their thoughts are and what internal pressure they may be applying to IR / AS to improve the situation.
Chairman said Tern share price was 'pathetic' when share price was a lot higher than it is now. Apart from apperances in his Val Doonican sweater on Tern CMD's-he is invisible to the market-no interviews etc. Come on Iain Ross / Jane McCraken lets see some input. |

All directors should be contactable by e-mail, probably Sisto not wanting them to hear a few home truths about him, advising them not to post their addresses or telling Tim the P/R man not to give them out. Like H/T says these valuations here are so far from the mark of true values by millions mainly to keep these cheap placings coming. Stop anymore placings sell SVV fund holdings do NOT invest another penny there and keep funds received from the SVV fund to run the company and support the other three investees if needed. D/A and FVR don't look like they need ,it maybe T/M might need some help , but an exit could come at anytime on FVR or D/A and that would mean big rises on the S/P, hold and wait like most LTHs are, some are topping up still, some sitting back confident a payout is on the way sooner rather than later. |
Tern Board of Directors can no longer fund any of the Investee`s because there is UNDOUBTEDLY A CONFLICT OF INTEREST whereby Directors of TERN hold a financial interest in the INVESTEE`s.
It is also almost 100% certain that this conflict of Interest has been ignored for some considerable time. Several Placing`s have been waved through that should never have been allowed, due to Conflict of Interest
Tern have never established whether it is even legal for Tern Directors to hold a FEE PAYING POSITION within the INVESTEES, Whilst waving through PLACING`s for Investee`s ???

There is an interesting story Developing around SISTO. In the UK, a Directors fiduciary duties generally cease upon Resignation, BUT, certain obligations, like avoiding conflicts of interest related to Company Property or Information known during their tenure, may continue. A former Director may still face liability for actions taken while in office, such as breach of contract or WRONGFUL TRADING, OR INSIDER TRADING USING INSIDER KNOWLEDGE.
Sisto has resigned as a Director yet still controls a listed AIM Company, investing in Companies Financed by Holders. Sisto has a financial interest in those companies supported by the Investment Company Sisto has since resigned from. A CERTAIN CONFLICT OF INTEREST, BASED ON THE FACT, Sisto can claim financial support from holders who are TO ALL INTENTS AND PURPOSES, At arms length from Sisto. FCA are missing something that may well be Fraudulent, but FCA do need to fulfill their legal obligations to protect HOLDERS from what certainly looks, on face value, "A CONFLICT OF INTEREST"
Sisto has no public role at TERN, A VENTURE CAPITAL Company, yet he makes all decisions re placing`s. Sisto makes the decision that holders of TERN, Finance Companies that Sisto has a financial interest(SHARES) and a board position in.

Too old to make sensible decisions, not one shareholder I know wants anything to do with the SVV fund, the promise to invest in it Yearly is a licence to do placings, it has to stop. If cash is needed sell it all to keep the company solvent ask any holder what would they get rid of first it would be SVV, Sisto needs to be told that fact, at the AGM or an EGM, do NOT vote for anymore dilution.. |
