25/11/2009 13:56 | Davidosh I held 200k TND shares for a swift 20-25% in April/May 2004 and have kept an eye on them ever since. IMHO the business seems to run somewhat hot-and-cold and there have been various buying opportunities along the way. However, corporate governance issues have meant that I have chosen not to re-invest. Whilst the profits have on some occasions been very attractive relative to the share price, I've consistently felt there was IMHO a significant risk of an excessive proportion these profits being appropriated by management at the expense of shareholders. In this respect, the appointment of 2 people I would find myself able to view as truly-independent NEDs would be a significant move forward, would mean I would be far more likely to re-invest in TND and would probably result in a significant increase in the share price. 25/11/2009 09:39 | SteMis / CWA1.....You make very valid points and in anticipation I had already made my thoughts on this very clear to Mervyn Keene who has in fairness started the ball rolling by making his initial approach to our two candidates for NEDs. A standard reply advising shareholders who have mailed them would be useful of course. It is absolutely 100% certain that TND require additional NEDs and that they should have been appointed over the last few years if good corporate governance was a concern to the board and its advisors and indeed larger shareholders. We should be told why it has NEVER happened ?? If by amazing coincidence there are now a number of candidates for possible election then those who are cynical will have a field day. I am not inside the company walls. I do not know how much influence the advisors will have nor how selection will ultimately be made. I do know that we are the owners and have acted accordingly by suggesting two highly respected and well qualified NEDs and if neither are selected it will need very,very good reasons. Will they be forthcoming if that does happen ?? It will be a behind closed doors decision. We may have to consider the other option which is to simply make it completely open to a vote by ALL shareholders via EGM and then increase awareness to the small shareholders by publicising our spirited campaign. Hopefully it may also raise awareness of our good little company which many here have complained has been lacking anyway. I have done my initial work as requested by sufficient holders to call an EGM so how do the rest of you feel ? Maybe an official response from the Board advising what is happening with regards to the next step for our two candidates and the official TANDEM Plc expectation of timelines for the official announcement of two non executives would allay fears. After all they did say the process had started years and years ago. Thank you for the many emails in support. One thing I do guarantee is that the momentum will grow and grow here as the message travels. I am hearing about more and more friends and relatives of shareholders who have holdings in Tandem and the company should be listening to ALL those shareholders that have been awoken in their slumber. Why would the Board not wish to appoint at least ONE independent non executive seen as a representative of ALL those shareholders ? Keep that support coming and do let the company know your views. I will seek an official response so that it is clear that the way forward is known to as many shareholders as possible. | ![]() davidosh | |

I can see Sir somebody, or Lord the other, being wheeled out as a compliant figurehead alternative to keep the pack from their rears-but that is NOT what is required here. What is required are a couple of NEDs not scared to challenge the board, that have the shareholders' interests at heart as well as being able to constructively improve and help the company on to better and brighter things. A timescale MIGHT be a good idea but let's see what they say first. I for one haven't even had a response from them confirming that they have received my email and are looking into it/considering it. 25/11/2009 09:02 | Yes, I'm more than happy to support David's request to Tandem to appoint the two new NEDs he has proposed and would support an EGM if necessary. As some may know I work as a freelance journo, so I might consider a piece on this and corporate governance in the future. There is always the danger that TND seek to distract shareholders by appointing their own NEDs; chosen to maintain the current status quo. I've been the FD of a plc myself in the past so I know how it works. That's not what we want. We want real NEDs who will constructively challenge the executives and add value to the company, not a couple of tame placemen who'll turn up every month for a cup of coffee and a biscuit. The company appears to be treating Shareholders with a degree of disdain...either deliberately or incompetently. I hadnt got a clue what their last Annoucement of Results really meant until Stemis kindly de-coded. They cannot treat the owners of the business in thi way, and nor should they be allowed to. Mervyn Keene asked me to send anything for the chairman via him. The chairman is 80 years old early next year and it is incredible that he fits in all the work he does without other non execs to help him.
