You are robably right, but impossible to deal out on that quantity so have to be long term and onside with the board. Thats why I think the company is fireproof against any unsolicited bid. If they are not onside with the board they are very badly advised.

QP one presumes they are friendly buyers, an unsolicited bid would face an enormous hurdle against the board and friends. If friendly it eliminates any outside approach

Astonishing.

After yesterday's RNS taking Tosca to 23.5%, Tosca have today released a further RNS detailing another enormous purchase of shares.

This time, a purchase of 2.1% which takes their overall stake in TalkTalk to 25.6%

Tosca now have effectively built a minority blocking vote in Talktalk.

What are they up to?

One can but wonder to oneself if a bid is coming.

Let's see if Tosca continue upping their stake towards the critical 30% City Code threshold level.

Either way, purchasing 3.6% of Talktalk in just a few days is in my opinion a highly likely signal of something afoot.

Watch this space.

Find this a little bizarre, is it to give them more clout were C. Dunstone to try and take this private, perhaps they are interested in engineering a private equity buyout themselves!

Another 1.5% for Tosca Asset Management , taking them to an astonishing 23.5%.

They now own approaching a quarter of the whole of TalkTalk and fast approaching the important minority blocking 25% shareholding threshold under the City Code for takeovers.

Their 23.5% shareholding is collectively held between Tosca SPC, Tosca MidCap, Tosca Opportunity, Tosca Sevice 3 and The Pegasus Fund Limited.

A 23.5 % holding in a single company is a massive risk in my view, then again it can also potentially yield a massive reward.

Tosca are no fools in my opinion.

Either way, for Tosca to continue buying and to have now built an eye-watering 23.5% shareholding in a quoted UK telecoms company leads me to believe that this is no chance happening and that whatever their game-plan is, it has been patient and determined......


This coming at a time when there is ongoing radio-silence about the late August Sky News reports of approaches for Fibre Nation, the uncertainty and lack of news of which clearly have not deterred Tosca from further stake-building.

A month has now elapsed since Sky News reported that the Goldman infrastructure vehicle, amongst others, was in bid talks with FibreNation.

A damp squib or a smouldering volcano?

Perhaps no news is good news.

I’d like to see a strong update next time, seemed Dunstone was merely swapping some DC. stock for Talk, or re-investing some of the ridiculous dividends that this company paid out of cash flow in years past, but he has paid a high price in share value erosion with it. Tosca increasing of late seems interesting, do they expect a take out, whatever happens shareholders nursing large losses over last two years!

All well and good Dunstone supporting the share price by selling DC. and buying Talk stock, especially when institutions selling, but apart from him and Tosca, who is buying? what we need are positive figures without a load of spin, then a sustained rise might occur! Right now this is beached!

ToscaFund on the move again.

This morning significantly UPPING their already mighty 18.7% holding to a massive 20.1% holding/voting rights.


First Sir Charles buys some £10m of shares and now Tosca INCREASING to more than 20%.

Both within last few days.

The Telegraph writes on 2nd September 2019 that in addition to

1. Goldman/CityFibre Infrastrucre Holdings,

that both:

2.Icon Infrastructure, and

3.Macquarie Private equity


are either "weighing a possible investment in" and/or "reportedly considering bids" for FibreNation.

Another c. £4 million of TalkTalk shares bought by Founder, Sir Charles as notified by RNS this morning.

To be precise, 3,870,639 Talktalk shares @ 103.64 being £4,011,530.26.

That amounts to purchases by Dunstone of more than £10 million of TalkTalk shares within the last few days.

Observers of Director Buying signals take note.

Dunstone's share purchases mean there are no market impacting negotiations on the way, otherwise he would be in a close period and unable to deal.
Not suggesting the purchase is not positive and a sign of confidence by the Chairman but that is all.
